4.1 Service Location: All Nurse services under this Purchase Order shall be performed exclusively within the facilities of Hospital Nacional de Lima and its affiliated outpatient clinics located in the districts of Miraflores, San Isidro, and Cercado de Lima, Peru. No Nurse personnel shall be reassigned to locations outside the Lima metropolitan area without prior written authorization from the Purchasing Entity.

4.2 Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt. Payment will be processed via bank transfer to the account designated by Andina Nursing Solutions S.A.C. All invoices must include the RUC number and be issued in accordance with the Peruvian tax regulations (SUNAT) applicable in Lima, Peru.

4.3 Compliance: The Nurse personnel provided under this Purchase Order must comply with all health and safety regulations established by the Peruvian Ministry of Health (MINSA) and the local health authority of Lima, Peru. The Supplier guarantees that all Nurse staff will maintain valid professional licenses, up-to-date immunization records, and clean criminal background checks as required by Peruvian law.

4.4 Confidentiality: All Nurse personnel engaged through this Purchase Order shall adhere to the strictest standards of patient confidentiality as mandated by Peruvian data protection law (Ley N° 29733) and the hospital's internal privacy policies in Lima, Peru.

4.5 Termination: Either party may terminate this Purchase Order with a written notice of fifteen (15) business days. In the event of termination, the Supplier shall ensure a minimum of ten (10) business days of Nurse coverage transition to avoid disruption of patient care in Lima, Peru.

4.6 Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the competent courts of Lima, Peru, in accordance with the Peruvian Civil Code and applicable commercial regulations.

The Nurse services described in this Purchase Order shall commence on July 1, 2025, and shall continue on a monthly recurring basis until the contract term expires on December 31, 2025, unless renewed or terminated in accordance with Section 4.5. The Supplier, Andina Nursing Solutions S.A.C., is responsible for the onboarding, orientation, and initial placement of all Nurse personnel at the designated facilities in Lima, Peru, no later than June 25, 2025.

This Purchase Order is hereby authorized and approved by the undersigned representatives of both parties. By signing below, both the Purchasing Entity and the Supplier acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the provision of Nurse services in Lima, Peru.

This Purchase Order (PO-LIMA-2025-04871) is a legally binding document for the procurement of Nurse services in Lima, Peru. It is issued in accordance with the Peruvian Public Procurement Law (Ley N° 30225) and its regulations. This document is valid only when signed by both authorized representatives.
