- This Purchase Order constitutes a binding agreement between Medical Staffing Solutions International LLC (hereinafter "Buyer") and St. Petersburg Medical Personnel Agency OOO (hereinafter "Vendor") for the procurement of qualified Nurse services to be rendered at the designated hospital facility in Russia Saint Petersburg.
- All Nurse personnel placed under this Purchase Order must hold a valid, current medical license issued by the relevant Russian regulatory authority and must demonstrate documented clinical competency in cardiology nursing prior to the commencement of duties.
- Payment terms: Net 45 days from the date of invoice receipt. Payment shall be made via international wire transfer to the Vendor's designated account in rubles (RUB) at the prevailing Central Bank of Russia exchange rate on the day of transfer. The Buyer reserves the right to pay in USD subject to applicable foreign exchange regulations in the Russian Federation.
- The Vendor guarantees that each Nurse will be available for the full 12-month contract period. In the event of early termination by the Nurse for reasons other than medical incapacity, the Vendor shall provide a replacement Nurse of equivalent qualifications within 30 calendar days at no additional cost to the Buyer.
- All services described in this Purchase Order shall be performed in strict compliance with the Labor Code of the Russian Federation, the Federal Law "On the Protection of Consumer Rights," and all applicable healthcare regulations governing the practice of nursing in Russia Saint Petersburg.
- The Vendor shall maintain professional liability insurance for each Nurse throughout the contract duration and shall provide certificates of insurance upon request. Failure to maintain coverage shall constitute a material breach of this Purchase Order.
- Confidentiality: All patient data, clinical records, and operational information encountered by the Nurse during the course of employment in Russia Saint Petersburg shall be treated as strictly confidential in accordance with Federal Law No. 152-FZ "On Personal Data" and the hospital's internal data protection policies.
- Dispute resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in accordance with the rules of the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation, seated in Moscow. The language of arbitration shall be English.
- This Purchase Order is valid for acceptance within 30 days of the issue date. Failure to accept by the stated validity date shall render this document null and void without further notice.
- Any amendments to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal modifications shall not be enforceable.
