- Licensure Requirement: All Nurse personnel procured under this Purchase Order must hold a current, valid license issued by the Nursing Council of Korea (대한간호협회). The Vendor shall provide certified copies of all Nurse licenses prior to the commencement date. Any Nurse whose license is suspended, revoked, or expired shall be replaced within 72 hours at no additional cost to the Buyer.
- Compliance with South Korea Healthcare Regulations: The Vendor and all Nurse personnel shall comply with all applicable laws and regulations of the Republic of South Korea, including the Nurse Act (간호법), the Medical Service Act (의료법), and all directives issued by the Seoul Metropolitan Government and the Ministry of Health and Welfare. The Vendor shall maintain all required business permits for healthcare staffing operations in Seoul.
- Work Location: All Nurse services shall be rendered exclusively at the Seoul Metropolitan General Medical Center facility located in Yongsan-gu, Seoul, South Korea, unless otherwise authorized in writing by the Buyer. Off-site assignments require prior written approval.
- Working Hours and Shifts: Nurse personnel shall work in accordance with the shift schedule established by the Buyer, not to exceed 52 hours per week as mandated by South Korea labor law. Overtime compensation shall be calculated at 1.5 times the base hourly rate in compliance with the South Korea Labor Standards Act.
- Confidentiality and Patient Data: All Nurse personnel shall sign a Non-Disclosure Agreement (NDA) and comply with the South Korea Personal Information Protection Act (개인정보보호법) regarding patient medical records and data. Breach of confidentiality shall result in immediate termination of the Nurse's assignment and potential legal action.
- Payment Schedule: Invoices shall be submitted by the Vendor on the 5th of each month for the preceding month's services. Payment shall be made via bank transfer to the Vendor's designated account in Seoul within 30 days of invoice receipt. Late payments shall accrue interest at 6% per annum as stipulated by South Korea commercial law.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of a Nurse's gross negligence, unprofessional conduct, or loss of licensure, the Buyer may terminate the specific Nurse's assignment immediately. The Vendor shall provide a qualified replacement Nurse within 5 business days.
- Insurance and Liability: The Vendor shall maintain professional liability insurance (medical malpractice coverage) for all Nurse personnel with a minimum coverage of 500,000,000 KRW per claim, as required for healthcare providers operating in Seoul, South Korea. Certificates of insurance shall be provided upon request.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Seoul, South Korea, in accordance with the rules of the Seoul International Arbitration Center. The governing law shall be the laws of the Republic of South Korea.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies as declared by the South Korean government.
