- This Purchase Order is issued by Clínica Mediterránea Valencia S.L. and constitutes a binding procurement request for the services of qualified Nurse professionals to be deployed at the buyer's facility in Spain Valencia. All terms herein are governed by the Spanish Civil Code (Código Civil) and the applicable commercial regulations of the Comunitat Valenciana.
- The Supplier, Valencia Nursing Solutions S.L., warrants that every Nurse placed under this Purchase Order holds a current, valid nursing licence issued or recognised by the Spanish Ministry of Health (Ministerio de Sanidad) and is duly registered with the Il·lustre Col·legi Oficial d'Infermeres i Infermers de València. Failure to maintain valid registration shall constitute a material breach of this Purchase Order.
- All Nurse personnel engaged under this Purchase Order shall be subject to the employment and labour conditions set forth in the Spanish Workers' Statute (Estatuto de los Trabajadores, Real Decreto Legislativo 2/2015) and the applicable collective bargaining agreement for healthcare professionals in the Valencia region (Convenio Colectivo del Personal de los Centros Sanitarios de la Comunitat Valenciana).
- The Supplier shall complete all onboarding, credential verification, and compliance procedures within fifteen (15) calendar days of the acceptance of this Purchase Order. The first Nurse shall be available for duty at the Valencia facility no later than 1 July 2025.
- Payment shall be made in full within thirty (30) calendar days of receipt of a valid invoice from the Supplier. Invoices must reference this Purchase Order number (PO-VAL-2025-04872) and include the Supplier's NIF. Late payments shall accrue interest at the rate established by Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales.
- The Supplier shall provide a replacement Nurse of equivalent or superior qualifications within five (5) business days should any Nurse placed under this Purchase Order become unavailable due to illness, resignation, or disciplinary action. The replacement must meet all licensing and registration requirements for practice in Spain Valencia.
- All Nurse personnel shall comply with the data protection obligations established under the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 (LOPDGDD) when handling patient records and personal health information at the Valencia facility.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable only for services rendered up to the effective date of termination. No penalty shall apply for early termination initiated by the Buyer for convenience.
- Any disputes arising from this Purchase Order shall be resolved by the competent courts of Valencia, Spain, in accordance with the applicable jurisdictional rules. Both parties agree to attempt mediation through the Valencia Chamber of Commerce (Cámara Oficial de Comercio de Valencia) before initiating litigation.
- This Purchase Order is valid for acceptance until 14 September 2025. The Supplier's acceptance shall be confirmed in writing by signing and returning a copy of this document to the Buyer's procurement department in Valencia.
