4.1 This Purchase Order is governed by the Swiss Code of Obligations (OR) and applicable cantonal regulations of the Canton of Zurich. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Switzerland Zurich.
4.2 The Supplier warrants that every Nurse placed under this Purchase Order shall hold a current, unrestricted Swiss nursing license, valid professional indemnity insurance, and a clean criminal background check (Extract from the Criminal Record) as required for employment in the healthcare sector in Switzerland Zurich.
4.3 The Nurse services shall commence no later than 01 September 2025. The Supplier shall provide a confirmed roster of all Nurse candidates, including curriculum vitae, license verification, and reference letters, no fewer than thirty (30) calendar days prior to the commencement date.
4.4 Payment terms: Net 30 days from the date of invoice receipt. Invoices shall be submitted monthly in arrears. Payment shall be made via bank transfer to the account specified by the Supplier. All amounts are denominated in Swiss Francs (CHF).
4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material non-performance, breach of Swiss healthcare regulations, or failure to maintain adequate Nurse staffing levels as stipulated herein.
4.6 The Supplier shall ensure that all Nurse personnel comply with the Swiss Federal Act on Data Protection (FADP/DSG) regarding patient confidentiality and medical records handling within the Switzerland Zurich healthcare network.
4.7 Any amendments to this Purchase Order, including changes in Nurse headcount, shift patterns, or scope of clinical duties, must be documented in a written addendum signed by both parties.
