The Supplier, GulfCare Nursing Solutions FZ-LLC, shall be responsible for the recruitment, screening, visa sponsorship, medical fitness clearance, and onboarding of all Nurse personnel specified in Section 3 above.

All Nurse candidates must hold a valid Bachelor of Science in Nursing (BSN) or equivalent qualification recognized by the Health Authority — Abu Dhabi (DHA). Each Nurse must possess a current, active DHA professional license and must pass the DHA medical fitness examination conducted at an approved medical center in Abu Dhabi. The Nurse must demonstrate proficiency in both English and Arabic to ensure effective patient communication within the United Arab Emirates healthcare environment.

The Supplier guarantees that all Nurse personnel will be free from any prior disciplinary action, criminal record, or professional misconduct. Background verification shall be completed through the Abu Dhabi Police and the relevant home-country authorities prior to the commencement of the employment contract.

1. This Purchase Order is governed by the laws of the United Arab Emirates and the specific regulations of Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abu Dhabi in accordance with the UAE Arbitration Law.
2. The Supplier shall deliver all Nurse personnel to the designated facility in Abu Dhabi no later than the Required Delivery Date stated in Section 1. Failure to meet this deadline shall entitle the Purchasing Party to a penalty of 2% of the total Purchase Order value per week of delay, up to a maximum of 10%.
3. Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the Supplier's designated account in Abu Dhabi. The first installment of 50% shall be due upon successful onboarding of all Nurse positions. The remaining 50% shall be due upon completion of the 90-day probationary period for all Nurse staff.
4. The Supplier warrants that all Nurse personnel shall remain in continuous employment for a minimum period of 12 months from the date of commencement. Early departure of any Nurse within this period shall require the Supplier to provide a replacement Nurse of equivalent qualification within 30 calendar days at no additional cost to the Purchasing Party.
5. All Nurse personnel shall be subject to the employment policies, code of conduct, and clinical protocols of Al Noor Medical Group LLC. The Supplier retains the right to conduct performance reviews in coordination with the Purchasing Party.
6. This Purchase Order does not constitute a permanent employment contract between the Purchasing Party and the individual Nurse personnel. The employment relationship is between the Nurse and the Supplier, with the Nurse seconded to the Purchasing Party's facility in Abu Dhabi.
7. Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient data, operational information, and the terms of this Purchase Order in compliance with the UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to government-mandated closures, pandemics, or natural disasters affecting Abu Dhabi or the United Arab Emirates.
