- This Purchase Order (PO-LA-2025-04872) constitutes a binding agreement between Pacific Coast Medical Group, Inc. (hereinafter "Buyer") and Angelus Healthcare Staffing Solutions, LLC (hereinafter "Vendor") for the procurement of qualified Nurse services to be rendered at the Buyer's facility located in United States Los Angeles, California.
- All Nurse personnel placed under this Purchase Order must maintain valid, active licensure with the California Board of Registered Nursing or the California Board of Vocational Nursing and Psychiatric Nursing, as applicable. The Vendor shall provide proof of licensure prior to the Nurse's first day of service.
- The Vendor is responsible for all payroll, withholding, workers' compensation insurance, and employment-related obligations for each Nurse placed under this Purchase Order. The Nurse shall not be considered an employee of the Buyer.
- Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (PO-LA-2025-04872) and itemize services rendered by each Nurse during the billing period.
- The Buyer reserves the right to request the replacement of any Nurse who fails to meet the performance standards, competency requirements, or professional conduct expectations outlined in the facility's employee handbook. Replacement Nurse candidates must meet or exceed the qualifications specified in this Purchase Order.
- All Nurse services shall be performed in compliance with the Health Insurance Portability and Accountability Act (HIPAA), California Confidentiality of Medical Information Act (CMIA), and all applicable federal and state regulations governing patient care in the United States Los Angeles jurisdiction.
- This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination.
- The Vendor shall maintain professional liability (malpractice) insurance with a minimum coverage of $2,000,000 per occurrence for all Nurse personnel. Certificates of insurance shall be provided to the Buyer prior to commencement of services.
- Any disputes arising from this Purchase Order shall be resolved through binding arbitration in the city of United States Los Angeles, California, in accordance with the rules of the American Arbitration Association.
- This Purchase Order is governed by the laws of the State of California and the federal laws of the United States of America. No modification of this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
