5.1 This Purchase Order (PO) constitutes a binding agreement between Miami Coastal Health Network, Inc. (hereinafter "Buyer") and South Florida Registered Nurse Staffing Solutions LLC (hereinafter "Vendor") for the procurement of Nurse staffing services and related clinical supplies within the United States Miami metropolitan area.
5.2 All Nurse personnel placed under this Purchase Order must maintain an active, unrestricted Florida Registered Nurse license in good standing with the Florida Board of Nursing. The Vendor shall provide proof of licensure prior to the Nurse's first shift at any United States Miami facility.
5.3 The Vendor guarantees that each Nurse assigned under this Purchase Order shall comply with all applicable federal, state, and local regulations governing nursing practice in the United States Miami jurisdiction, including but not limited to Florida Statutes Chapter 464 and the Florida Administrative Code 64B16.
5.4 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the Vendor. Invoices must reference this Purchase Order number (MCN-2025-07842) and itemize all Nurse hours, per-diem shifts, and supply charges separately.
5.5 The Buyer reserves the right to request the replacement of any Nurse who fails to meet performance standards, violates facility policy, or whose license status is suspended or revoked. The Vendor shall provide a qualified replacement Nurse within forty-eight (48) hours of such a request.
5.6 All Nurse personnel shall be subject to the Buyer's confidentiality policies, HIPAA regulations, and the facility's code of conduct. The Vendor shall indemnify the Buyer against any claims arising from the Nurse's gross negligence or willful misconduct.
5.7 This Purchase Order is valid for a period of ninety (90) days from the date of issue. Any modifications, amendments, or extensions must be executed in writing and signed by authorized representatives of both parties.
5.8 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States Miami, without regard to its conflict-of-law principles. Any disputes shall be resolved through binding arbitration in Miami-Dade County, Florida.
