The Occupational Therapist shall be available at the HealthBridge facility in Copacabana, Rio de Janeiro, Brazil, Monday through Friday, from 08:00 to 18:00, and on Saturdays from 08:00 to 12:00, in accordance with the operational schedule of the institution.

• 6.1 – This Purchase Order constitutes a binding agreement between HealthBridge Therapeutic Services Ltda. (Buyer) and Reabilita Rio Terapia Ocupacional Ltda. (Supplier) for the provision of Occupational Therapist services in the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
• 6.2 – The Occupational Therapist engaged under this Purchase Order must hold a valid registration with CREFITO-3 (Region 3 – Rio de Janeiro) and a recognized undergraduate or postgraduate degree in Occupational Therapy from an institution accredited by the Ministry of Education of Brazil (MEC).
• 6.3 – All invoices submitted by the Supplier shall reference this Purchase Order number (PO-2025-OT-00472) and shall be submitted in Brazilian Reais (BRL) via electronic bank transfer (TED/PIX) to the account designated by the Buyer.
• 6.4 – Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice, provided that all services have been rendered in full compliance with the scope defined in this Purchase Order.
• 6.5 – The Supplier shall comply with all applicable data protection regulations, including the Brazilian General Data Protection Law (LGPD – Lei Geral de Proteção de Dados, Law No. 13.709/2018), ensuring the confidentiality and security of all patient records generated during the Occupational Therapist sessions.
• 6.6 – The Occupational Therapist shall maintain professional liability insurance (Seguro de Responsabilidade Civil Profissional) with a minimum coverage of R$ 500,000.00 for the entire duration of this Purchase Order.
• 6.7 – Any modification to the scope, quantity, or pricing of services outlined in this Purchase Order must be documented in a written addendum signed by both parties before implementation.
• 6.8 – In the event of non-performance or breach of contract, the Buyer reserves the right to terminate this Purchase Order with immediate effect upon written notice, without prejudice to any further legal remedies available under Brazilian civil law.
• 6.9 – This Purchase Order shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of the city of Rio de Janeiro, State of Rio de Janeiro, Brazil.
• 6.10 – The Supplier acknowledges that all Occupational Therapist services shall be delivered in a manner consistent with the ethical code of the CREFITO-3 and the professional standards of the occupational therapy profession as recognized in Brazil.
