  1. Scope of Work: All Occupational Therapist services described in this Purchase Order shall be performed in accordance with the standards set by the Ontario College of Occupational Therapists and Occupational Therapist Assistants (OCOTTA) and all applicable federal and provincial health regulations governing clinical practice in Canada Toronto.
  2. Contract Duration: This Purchase Order is valid for a period of twelve (12) months from the Required Delivery Date, unless terminated earlier by either party with sixty (60) days written notice.
  3. Payment Terms: Net 45 days from receipt of a valid invoice. Invoices shall be submitted monthly by the 5th business day. Payment shall be made via electronic funds transfer (EFT) to the vendor account on file. All amounts are denominated in Canadian Dollars (CAD).
  4. Licensing & Compliance: The vendor warrants that all Occupational Therapists assigned under this Purchase Order hold active, unrestricted registration with OCOTTA and maintain valid professional liability insurance with a minimum coverage of $5,000,000 per occurrence, as required for clinical practice in Canada Toronto.
  5. Confidentiality: All patient information accessed by the Occupational Therapist team shall be handled in strict compliance with the Personal Health Information Protection Act, 2004 (PHIPA) and the Privacy Act of Canada. No patient data shall be removed from the Canada Toronto facility premises.
  6. Performance Standards: The Occupational Therapist team shall meet or exceed the clinical outcome benchmarks established by the buyer, including patient satisfaction scores of 90% or higher, treatment plan completion rates of 95% or higher, and zero reportable adverse events attributable to therapy delivery.
  7. Termination for Cause: Either party may terminate this Purchase Order immediately upon written notice if the other party commits a material breach, fails to maintain required licensure, or engages in conduct that endangers patient safety within the Canada Toronto facility.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
  9. Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the matter shall be referred to mediation under the rules of the Ontario Arbitration Association in Canada Toronto before any litigation is commenced.
  10. Insurance: The vendor shall maintain commercial general liability, professional indemnity, and workers' compensation insurance throughout the term of this Purchase Order and shall provide certificates of insurance upon request.

This Purchase Order is issued and authorized by the undersigned on behalf of Toronto Metropolitan Health & Rehabilitation Centre. The vendor's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and service specifications outlined herein.
