- Scope of Services: The Seller shall provide all Occupational Therapist services as outlined in the line items above. All Occupational Therapist personnel assigned to this Purchase Order must hold active registration with the British Columbia Association of Occupational Therapists (BCAOT) and maintain valid professional liability insurance with a minimum coverage of $5,000,000 per occurrence.
- Service Location: All services under this Purchase Order shall be delivered at the Buyer's facility located in Canada Vancouver, British Columbia, or at approved off-site locations within the Canada Vancouver metropolitan area as mutually agreed upon in writing by both parties.
- Service Period: The Occupational Therapist services covered by this Purchase Order shall commence on July 1, 2025, and conclude on December 31, 2025, unless extended by mutual written amendment.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day following the end of each calendar month. Payment is due within thirty (30) days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the British Columbia Late and Interest on Payments to Suppliers Act.
- Compliance with Canadian and Provincial Regulations: The Seller warrants that all Occupational Therapist services provided under this Purchase Order shall comply with the Health Professions Act (SBC 2003, c. 2) of British Columbia, the Canada Labour Code where applicable, and all municipal bylaws governing healthcare service delivery in Canada Vancouver.
- Confidentiality and Privacy: All patient information accessed by the Occupational Therapist team in the course of fulfilling this Purchase Order shall be handled in strict accordance with the Personal Information Protection Act (PIPA) of British Columbia and the federal Privacy Act of Canada. A separate Data Processing Agreement is incorporated by reference.
- Performance Standards: The Seller shall ensure that each Occupational Therapist assigned to this engagement meets or exceeds the clinical outcome benchmarks established by the Buyer's Quality Assurance Committee. Monthly performance reports shall be submitted alongside each invoice.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Occupational Therapist services rendered up to the effective date of termination, less any applicable credits.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through mediation in Canada Vancouver before proceeding to arbitration under the Arbitration Act (SBC 1991, c. 55).
- Insurance and Indemnification: The Seller shall maintain professional indemnity insurance, commercial general liability insurance, and workers' compensation coverage as required by the Work Safety and Insurance Board (WSIB) of British Columbia throughout the term of this Purchase Order.
- Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer and the Seller. Verbal agreements regarding Occupational Therapist staffing, rates, or scope are expressly excluded.
