This Purchase Order is issued by Andes Health Services S.A. to formally request and authorize the procurement of specialized Occupational Therapist clinical services to be delivered at our primary rehabilitation center located in Chile Santiago, specifically at the Av. Providencia 1234 facility in the Providencia commune. The Occupational Therapist engaged under this Purchase Order shall provide comprehensive, evidence-based therapeutic interventions to patients recovering from neurological injuries, orthopedic surgeries, and age-related functional decline. All services must comply with the clinical standards established by the Superintendencia de Salud de Chile and the professional regulations of the Colegio de Terapeutas Ocupacionales de Chile.
The Occupational Therapist is expected to conduct individualized assessments, design personalized treatment plans, implement adaptive strategies for activities of daily living, and coordinate with multidisciplinary teams within the Chile Santiago healthcare network. The scope of work includes but is not limited to: upper extremity rehabilitation, sensory integration therapy, cognitive rehabilitation, environmental modification assessments, and assistive device training. The Occupational Therapist must maintain a minimum of 40 clinical hours per week on-site at the Chile Santiago facility, with an additional 8 hours allocated for documentation, case conferences, and interdepartmental coordination.

- 1. Contract Duration: This Purchase Order covers a period of twelve (12) months commencing July 1, 2025, and expiring June 30, 2026, unless renewed in writing by both parties. The Occupational Therapist services shall be rendered exclusively at the designated Chile Santiago facility unless otherwise authorized in writing.
- 2. Payment Terms: Payment shall be made via electronic bank transfer (transferencia electrónica) within thirty (30) calendar days from the date of receipt of a valid factura (invoice) issued in accordance with Chilean tax regulations (SII). All amounts are denominated in Chilean Pesos (CLP).
- 3. Professional Compliance: The Occupational Therapist must hold a valid license issued by the Colegio de Terapeutas Ocupacionales de Chile (COOTAP) and maintain professional liability insurance with a minimum coverage of CLP 50,000,000. Any lapse in licensure shall constitute grounds for immediate termination of this Purchase Order.
- 4. Performance Standards: The Occupational Therapist shall adhere to the clinical protocols established by Andes Health Services S.A. and the regulatory framework of the Superintendencia de Salud de Chile. Monthly performance reports must be submitted to the Clinical Director of the Chile Santiago center by the 5th business day of each month.
- 5. Confidentiality: All patient information handled by the Occupational Therapist in Chile Santiago shall be protected under Chile's Ley 19.628 on the Protection of Private Life and the applicable data protection regulations. Breach of confidentiality shall result in immediate contract termination and potential legal action.
- 6. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In cases of material breach, termination may be effective immediately upon written notification. The Occupational Therapist must ensure a minimum of two (2) weeks transition period for continuity of patient care at the Chile Santiago facility.
- 7. Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the civil and commercial laws of the Republic of Chile. Any disputes shall be resolved in the competent courts of Chile Santiago, Región Metropolitana.
- 8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, governmental mandates, or public health emergencies affecting the Chile Santiago metropolitan area.
