This Purchase Order is issued to formally engage qualified Occupational Therapist professionals to deliver inpatient and outpatient occupational therapy services at the buyer's facility located in China Shanghai. The Occupational Therapist services shall comply with the National Health Commission of the People's Republic of China standards for rehabilitation medicine and occupational therapy practice, as well as the applicable regulations of the Shanghai Municipal Health Commission. All Occupational Therapist personnel assigned under this Purchase Order must hold a valid Chinese Occupational Therapist Practicing License (Occupational Therapist Qualification Certificate) issued by the relevant provincial health authority in China Shanghai or another recognized jurisdiction within the People's Republic of China.

  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and the applicable regulations of the Shanghai Municipal People's Government. Any disputes arising from this Purchase Order shall be resolved through the Shanghai International Arbitration Center (SHIAC) in China Shanghai.
  2. Payment Terms: Payment shall be made in quarterly instalments within 30 calendar days of receipt of a valid invoice from the supplier. The first instalment of 25% (CNY 555,069.00) is due upon successful onboarding and verification of all Occupational Therapist credentials. Subsequent quarterly payments of 25% each shall be due on 1 October 2025, 1 January 2026, and 1 April 2026.
  3. Service Commencement: All Occupational Therapist personnel must report for duty no later than 01 August 2025 at the receiving location in China Shanghai. A minimum of 5 business days' written notice is required for any substitution of assigned Occupational Therapist staff.
  4. Compliance & Licensure: The supplier warrants that every Occupational Therapist engaged under this Purchase Order holds a current, valid Occupational Therapist Practicing License and has completed the mandatory annual continuing education requirements as stipulated by the National Health Commission. Failure to maintain valid licensure shall constitute a material breach of this Purchase Order.
  5. Confidentiality: All patient records, clinical data, and proprietary treatment protocols accessed by the Occupational Therapist team in the course of this Purchase Order shall be treated as strictly confidential in accordance with the Personal Information Protection Law of the People's Republic of China (effective 1 November 2021).
  6. Insurance: The supplier shall maintain professional indemnity insurance of no less than CNY 5,000,000 per claim and employer's liability insurance covering all Occupational Therapist personnel for the full duration of this Purchase Order.
  7. Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the buyer shall pay for all Occupational Therapist services rendered up to the effective date of termination, less any applicable deductions for unmet performance KPIs.
  8. Performance KPIs: The Occupational Therapist team shall achieve a minimum patient satisfaction score of 90% (measured quarterly), a 95% attendance rate, and a 100% compliance rate with the China Shanghai Municipal Health Commission's occupational therapy documentation and reporting standards.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated public health restrictions in China Shanghai, or acts of war.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications set forth in this Purchase Order for the engagement of Occupational Therapist services in China Shanghai.
