- Scope of Services: This Purchase Order authorizes the procurement of Occupational Therapist professional services and associated equipment for the Clínica Integral de Rehabilitación del Occidente S.A.S. facility located in Colombia Bogotá. All Occupational Therapist personnel must be duly licensed and registered with the Colombian health regulatory authorities prior to commencing clinical duties.
- Payment Terms: Payment shall be made within thirty (30) calendar days from the date of invoice receipt, via electronic bank transfer (transferencia electrónica) to the vendor's account in Colombian Pesos (COP). The Purchase Order total of COP 222,589,500 is inclusive of the 19% Value Added Tax (IVA) applicable in Colombia.
- Delivery and Commencement: All Occupational Therapist positions must be filled and personnel must report for duty no later than July 1, 2025, at the Colombia Bogotá clinic premises. Adaptive equipment and therapeutic materials must be delivered, installed, and inspected by June 28, 2025.
- Compliance: The vendor guarantees that all Occupational Therapist professionals engaged under this Purchase Order comply with the Colombian Labor Code (Código Sustantivo del Trabajo, Ley 50 de 1990), the General Health System Law (Ley 100 de 1993), and all applicable regulations issued by the Superintendencia Nacional de Salud and the Secretaría de Salud de Bogotá D.C.
- Confidentiality and Data Protection: All patient information handled by the Occupational Therapist team in Colombia Bogotá shall be protected in accordance with Ley 1581 de 2012 (Data Protection Law) and the General Data Protection Regulation as adopted in Colombian jurisprudence.
- Warranty and Quality Assurance: All therapeutic equipment supplied under this Purchase Order carries a minimum warranty of twelve (12) months from the date of installation. The vendor shall provide technical support and replacement parts for the duration of the warranty period.
- Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of early termination, the buyer shall be liable only for services rendered and equipment delivered up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Bogotá D.C., Colombia.
