- Regulatory Compliance: The Occupational Therapist shall maintain a valid registration with the Ordre des Ergothérapeutes de France and shall comply with all applicable regulations of the French Ministry of Health. All services rendered under this Purchase Order shall be performed in accordance with the professional deontology code applicable in France Lyon and the broader Auvergne-Rhône-Alpes region.
- Service Period: The engagement period under this Purchase Order shall commence on 1 July 2025 and conclude on 31 December 2025, unless terminated earlier in accordance with Clause 7. The Occupational Therapist is expected to be present at the France Lyon facility a minimum of five (5) days per week, Monday through Friday, between the hours of 08:00 and 17:00.
- Payment Schedule: Invoices shall be submitted monthly by the Occupational Therapist or their designated administrative representative. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account specified on the invoice. Late payments shall incur interest at the rate prescribed by Article L441-10 of the French Commercial Code.
- Confidentiality and Data Protection: The Occupational Therapist shall adhere strictly to the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertés). All patient records, clinical notes, and personal health data generated during the course of this Purchase Order shall be stored in compliance with French medical record-keeping regulations and shall not be disclosed to any third party without explicit patient consent.
- Insurance and Liability: The Occupational Therapist shall maintain, at their own expense, a professional liability insurance policy with a minimum coverage of €5,000,000 per claim, valid throughout the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of services.
- Quality Assurance: The Buyer reserves the right to conduct quarterly performance reviews of the Occupational Therapist's clinical outcomes, patient satisfaction scores, and adherence to documented treatment plans. The Occupational Therapist shall cooperate fully with any internal or external audit conducted by the French Health Authority (Agence Régionale de Santé – ARS Auvergne-Rhône-Alpes).
- Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of a material breach by the Occupational Therapist, including but not limited to loss of professional registration, the Buyer may terminate this Purchase Order immediately upon written notice. All services rendered up to the date of termination shall be invoiced and paid in accordance with Clause 3.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal Judiciaire de Lyon, France Lyon, 69000.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, epidemics, government-mandated closures, or strikes affecting healthcare services in France Lyon.
