- Service Period: The Occupational Therapist shall render all services described in this Purchase Order between 01 July 2025 and 30 September 2025 at the buyer's facility in Munich, Germany, and at approved outpatient locations within the Munich metropolitan region.
- Compliance: The Occupational Therapist warrants that all services shall be performed in full compliance with the German Social Code Book V (SGB V), the Heilmittelrichtlinie, the Bavarian Heilpraktikergesetz, and all applicable data protection regulations under the GDPR (DSGVO) as implemented in Germany.
- Confidentiality: The Occupational Therapist shall maintain strict patient confidentiality in accordance with the German professional code of conduct for Heilmittelerbringer and shall not disclose any patient-identifiable information without written consent.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via SEPA bank transfer within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory rate under § 288 BGB.
- Termination: Either party may terminate this Purchase Order with a written notice period of fourteen (14) calendar days. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
- Liability and Insurance: The Occupational Therapist shall maintain professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of € 1,000,000 per claim, valid throughout the service period in Germany.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction shall be the competent court in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Munich or Bavaria.
- Quality Assurance: The Occupational Therapist shall submit quarterly performance reports to the buyer's medical director. The buyer reserves the right to conduct periodic quality audits of the therapeutic services delivered.
- Language of Services: All patient-facing services, documentation, and reports shall be prepared in German. This Purchase Order and all contractual correspondence shall be conducted in English, with a German-language summary available upon request.
