The scope of this Purchase Order encompasses the full professional engagement of the Occupational Therapist for a period of twelve (12) months, commencing on 1 July 2025 and concluding on 30 June 2026, subject to renewal by mutual written agreement. The Occupational Therapist shall be required to work a minimum of forty (40) hours per week, Monday through Friday, with availability for on-call consultations during weekend hours as directed by the Chief Medical Officer.

3.1 This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire, specifically the Ivorian Code of Obligations and the regulations issued by the Ministry of Health and Hygiene of the Population regarding the practice of allied health professions in Ivory Coast Abidjan.

3.2 The Occupational Therapist shall maintain a valid professional license issued by the Ivorian National Order of Health Professionals (Ordre National des Professionnels de Santé) throughout the duration of this Purchase Order. Failure to maintain licensure shall constitute grounds for immediate termination of this Purchase Order.

3.3 All services rendered by the Occupational Therapist shall comply with the clinical protocols established by Abidjan Rehabilitation & Therapeutic Services, SARL, and shall adhere to the ethical standards set forth by the World Federation of Occupational Therapists (WFOT).

3.4 Payment under this Purchase Order shall be made via bank transfer to the account designated by the Occupational Therapist within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-OT-0087) and include the vendor's NIF for compliance with Ivorian tax regulations.

3.5 The Occupational Therapist shall submit a written progress report to the Director of Clinical Services on the last working day of each month, detailing patient outcomes, treatment modifications, and any resource requirements for the upcoming period.

3.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all outstanding invoices for services rendered up to the termination date shall be settled in full.

3.7 The Occupational Therapist shall maintain professional liability insurance with a minimum coverage of 50,000,000 XOF, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.

The Occupational Therapist shall commence duties at the Abidjan Rehabilitation & Therapeutic Services facility, 12 Boulevard de Vridi, Cocody, Ivory Coast Abidjan, on 1 July 2025 at 08:00 hours. The specialized therapeutic equipment listed in Item 02 shall be delivered to the facility no later than 28 June 2025 to allow for installation, calibration, and staff orientation prior to the commencement date.
