1. Scope of Engagement: The Occupational Therapist engaged under this Purchase Order shall hold a valid license issued by the Ministry of Health of the Republic of Kazakhstan and a minimum of five (5) years of post-graduate clinical experience in occupational therapy. All therapeutic interventions must comply with the national clinical guidelines for rehabilitation services in Kazakhstan Almaty.
2. Delivery and Commencement: The Occupational Therapist shall commence duties no later than 1 August 2025 at the designated facility in Kazakhstan Almaty. The supplier is responsible for ensuring the Occupational Therapist is fully onboarded, equipped, and operational by this date.
3. Payment Terms: Payment shall be made in monthly installments of KZT 1,184,400 (inclusive of VAT) within fifteen (15) business days of receipt of a valid invoice. The first payment is due upon successful completion of the onboarding period. All payments shall be transferred via bank wire to the account specified in Section 2 of this Purchase Order.
4. Performance Standards: The Occupational Therapist is expected to conduct a minimum of twenty (20) individual therapy sessions per week and participate in at least three (3) multidisciplinary team meetings per week. Failure to meet these benchmarks for two consecutive months shall constitute a material breach of this Purchase Order.
5. Confidentiality: The Occupational Therapist shall adhere to all patient privacy regulations under the Law of the Republic of Kazakhstan "On Personal Data and Its Protection." All patient records generated in Kazakhstan Almaty shall be stored in compliance with national data protection standards.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall ensure a smooth transition plan for the Occupational Therapist's caseload to avoid disruption of patient care in Kazakhstan Almaty.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Kazakhstan Almaty under the rules of the Almaty International Arbitration Center.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting Kazakhstan Almaty.
