This Purchase Order is issued by the Wellington Regional Health Authority to procure the professional services of a qualified Occupational Therapist to deliver evidence-based therapeutic interventions to patients across the New Zealand Wellington metropolitan area. All services rendered under this Purchase Order shall be delivered in accordance with the Health and Disability Commissioner's Code of Health and Disability Services Consumers' Rights (the Code) and all applicable New Zealand health legislation.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Public Procurement Act 2002 and the Health Sector Funding Act 1993. All disputes arising from this Purchase Order relating to Occupational Therapist services in New Zealand Wellington shall be resolved through the New Zealand Dispute Resolution Service.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within twenty (20) working days of receipt of a valid invoice. All amounts are quoted in New Zealand Dollars (NZD) and are inclusive of the Goods and Services Tax (GST) at the prevailing rate of 15%.
- Performance Standards: The Occupational Therapist shall adhere to the clinical governance standards set by the Wellington Regional Health Authority. Quarterly performance reviews shall be conducted, and failure to meet agreed Key Performance Indicators (KPIs) may result in a formal notice of breach under this Purchase Order.
- Confidentiality and Privacy: The Occupational Therapist shall comply with the Privacy Act 2020 (New Zealand) and maintain strict confidentiality of all patient records. No patient data collected during service delivery in New Zealand Wellington shall be disclosed to third parties without written consent.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. The Buyer may terminate immediately for material breach, including but not limited to loss of NZOTA registration by the Occupational Therapist or a finding of professional misconduct.
- Insurance: The Supplier shall maintain professional indemnity insurance with a minimum cover of NZD 5,000,000 per claim and public liability insurance of NZD 10,000,000 for the duration of this Purchase Order.
- Compliance: The Occupational Therapist shall comply with all New Zealand health and safety legislation, including the Health and Safety at Work Act 2015, and all workplace policies of the Wellington Regional Health Authority.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including natural disasters affecting the New Zealand Wellington region, pandemics, or government-mandated service closures.
By signing below, both parties acknowledge and agree to the terms, conditions, and scope of services outlined in this Purchase Order for the engagement of an Occupational Therapist to provide therapeutic services within the New Zealand Wellington region. This Purchase Order constitutes a binding agreement upon execution by both authorised representatives.
