This Purchase Order is issued by Manila Rehabilitation & Wellness Center, Inc. for the engagement of a qualified Occupational Therapist to provide in-clinic and home-visit therapeutic services to patients within the Philippines Manila metropolitan area. 4.1 Payment Terms: Payment for this Purchase Order shall be made within thirty (30) calendar days from the date of receipt of the valid invoice submitted by the vendor. Payment shall be processed via bank transfer to the account designated by Therapeutic Excellence Philippines, Inc. All payments are denominated in Philippine Pesos (PHP).

4.2 Commencement Date: The Occupational Therapist shall commence all services on or before July 1, 2025, at the designated facility in Philippines Manila. Any delay in commencement must be communicated in writing no later than five (5) business days prior to the start date.

4.3 Licensing and Compliance: The Occupational Therapist engaged under this Purchase Order must maintain a valid PRC license throughout the contract period. The vendor shall provide a copy of the Occupational Therapist's CPR and Good Moral Certificate upon request. Failure to maintain valid licensure constitutes grounds for immediate termination of this Purchase Order.

4.4 Work Location: Primary services shall be rendered at the Manila Rehabilitation & Wellness Center facility located in Makati City, Philippines Manila. Home-visit services shall be conducted at patient residences within the Philippines Manila metro area as specified in Line Item 02.

4.5 Confidentiality: The Occupational Therapist and all personnel assigned under this Purchase Order shall comply with the Data Privacy Act of 2012 (Republic Act No. 10173) and shall maintain strict confidentiality of all patient records and clinical information.

4.6 Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice.

4.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising herefrom shall be resolved through the courts of competent jurisdiction in Philippines Manila.
