4.1 This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Occupational Therapist service provider for the duration of the contract period specified herein. Both parties acknowledge that this Purchase Order is governed by the Civil Code of the Russian Federation and applicable healthcare regulations in force in Russia Saint Petersburg.

4.2 The Occupational Therapist shall maintain valid professional licensure, malpractice insurance (minimum coverage of 10,000,000 RUB), and all requisite certifications throughout the term of this Purchase Order. Failure to maintain such credentials shall constitute grounds for immediate termination of this Purchase Order by the Purchasing Entity.

4.5 Any modifications, amendments, or extensions to this Purchase Order must be executed in writing and signed by both parties. Verbal agreements or informal communications shall not alter the terms set forth in this Purchase Order document.

4.6 The Occupational Therapist shall not subcontract or delegate any portion of the services described in this Purchase Order to any third party without prior written consent from the Purchasing Entity's Chief Medical Officer.

Services under this Purchase Order shall commence on 1 July 2025 and shall continue through 30 June 2026, constituting a twelve (12) month contract period. The Occupational Therapist shall be available for clinical duties Monday through Friday, 08:00 to 18:00 local time (Moscow Time + 1), at the Severny Rehabilitation & Wellness Center facility in Russia Saint Petersburg. Home visits under Item 07 shall be scheduled in advance with a minimum of 48 hours' notice to the patient's household.
