1. Scope of Engagement: This Purchase Order authorizes the Supplier to deploy qualified Occupational Therapist personnel to provide the clinical services described in the line items above. All services shall be performed within the geographical boundaries of Spain Barcelona, including the city proper and its immediate metropolitan zone (Àrea Metropolitana de Barcelona).
2. Professional Standards: The Supplier warrants that every Occupational Therapist assigned under this Purchase Order shall maintain current professional registration, valid professional indemnity insurance (minimum coverage of €1,000,000 per claim), and adherence to the ethical code of the COTOC and the Spanish Ministry of Health.
3. Scheduling and Availability: The Supplier shall ensure that Occupational Therapist staff are available during standard clinical hours (Monday to Friday, 08:00–20:00) and shall provide a minimum of 48 hours' written notice for any schedule modifications. Emergency coverage in Spain Barcelona shall be arranged within 4 hours of request.
4. Payment: Invoices shall be submitted monthly in arrears. Payment shall be made via direct bank transfer (SEPA) within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
5. Data Protection: All patient data processed by the Occupational Therapist team shall be handled in strict compliance with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection. The Supplier shall execute a Data Processing Agreement prior to the commencement of services in Spain Barcelona.
6. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all Occupational Therapist services rendered up to the effective date of termination.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain. Any disputes arising from this engagement shall be submitted to the competent courts of Barcelona, Spain Barcelona.
8. Insurance and Liability: The Supplier shall maintain comprehensive professional liability insurance covering all Occupational Therapist activities performed in Spain Barcelona. The Supplier shall indemnify the Buyer against any claims arising from negligence or malpractice by the assigned personnel.
