3. Description of Goods / Services – Occupational Therapist Procurement
This Purchase Order is issued to formally authorize the engagement of a qualified Occupational Therapist to provide specialized therapeutic services at our rehabilitation centre located in Spain Valencia. The Occupational Therapist shall be responsible for designing, implementing, and supervising individualized therapy programmes for patients recovering from orthopaedic injuries, neurological conditions, and age-related functional decline. All services shall be rendered in compliance with the professional standards established by the Colegio Oficial de Terapeutas Ocupacionales de la Comunitat Valenciana and the broader regulatory framework governing healthcare professionals in Spain.
The Occupational Therapist engaged under this Purchase Order must hold a recognized degree in Occupational Therapy (Grado en Terapia Ocupacional) accredited by the Spanish Ministry of Education, possess a valid professional registration (número de colegiado) with the relevant professional college in Valencia, and demonstrate a minimum of five (5) years of clinical experience in adult and geriatric rehabilitation settings within the Spain Valencia metropolitan area or equivalent Spanish regions.

5. Delivery / Commencement Details
The Occupational Therapist shall commence all duties no later than 1 September 2025 at the primary facility located at Av. del Puerto, 42, 46022 Valencia, Spain. A secondary consultation point in the Ruzafa district of Spain Valencia will be available for mobile therapy sessions. All therapeutic equipment listed in Line Item 03 must be delivered and installed at the Valencia facility no later than 25 August 2025. The supplier shall confirm in writing, via email to [email protected], that the Occupational Therapist has completed all onboarding, background verification, and professional registration checks prior to the commencement date.
6. Payment Terms
Payment for this Purchase Order shall be made in accordance with the following schedule:

All payments shall be made via bank transfer (SEPA) to the IBAN specified in Section 1. Invoices must reference this Purchase Order number (PO-2025-VAL-0487) and include the supplier's CIF. Payment terms are net 30 days from receipt of a valid invoice. Late payments shall accrue interest at the rate established by the Spanish Law on Late Payment in Commercial Transactions (Ley 3/2004).
7. Terms and Conditions
- Professional Qualification: The Occupational Therapist engaged under this Purchase Order must maintain valid professional registration with the Colegio Oficial de Terapeutas Ocupacionales throughout the entire contract period. Failure to maintain registration constitutes grounds for immediate termination of this Purchase Order without penalty to the Buyer.
- Compliance with Spanish Law: All services shall be performed in strict accordance with Spanish healthcare legislation, including the Ley General de Sanidad (Ley 14/1986), the applicable regulations of the Generalitat Valenciana, and data protection requirements under the GDPR and the Spanish Organic Law 3/2018 (LOPDGDD). Patient records generated in Spain Valencia shall be stored in compliance with these regulations.
- Confidentiality: The Occupational Therapist and all associated personnel shall observe strict confidentiality regarding patient information. A Non-Disclosure Agreement (NDA) must be executed prior to the commencement of services.
- Insurance: The supplier shall maintain professional liability insurance (seguro de responsabilidad civil profesional) with a minimum coverage of €1,000,000 per claim, valid throughout the territory of Spain, with Valencia as the primary operational base.
- Substitution: The Buyer reserves the right to request substitution of the Occupational Therapist if performance does not meet the clinical standards outlined in the attached Service Level Agreement (SLA). Any replacement must meet or exceed the qualifications specified in Section 3 of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Buyer shall be liable only for services rendered up to the effective date of termination.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by the laws of Spain. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Valencia, Spain.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting operations in Spain Valencia.
8. Acceptance and Authorization
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Occupational Therapist in Spain Valencia. This document constitutes a binding agreement between the parties upon execution by both authorized signatories.
