This Purchase Order is issued by Meridian Health & Rehabilitation Services Ltd. to procure the professional services of a qualified Occupational Therapist for deployment at our outpatient rehabilitation centre located in the Şişli district of Turkey Istanbul. The engagement is intended to support our growing caseload of patients requiring post-surgical rehabilitation, paediatric developmental therapy, and neuro-rehabilitation services. The selected Occupational Therapist must hold a valid licence issued by the Turkish Ministry of Health (Sağlık Bakanlığı) and be registered with the Istanbul Provincial Health Directorate. All clinical services rendered under this Purchase Order shall comply with the regulations of the Republic of Turkey and the specific operational standards of the Istanbul metropolitan health authority.

1. Regulatory Compliance: The Occupational Therapist engaged under this Purchase Order must possess a minimum of a Bachelor's degree in Occupational Therapy from an institution accredited by the Turkish Higher Education Council (YÖK) and a current professional practice certificate. All clinical activities shall be conducted in accordance with the Turkish Occupational Therapy Law and the Istanbul Provincial Health Directorate's operational guidelines.
2. Payment Terms: Payment shall be made in monthly instalments within 30 days of invoice receipt. The initial equipment package (Line Item 2) shall be paid in full upon delivery and acceptance at the Istanbul facility. All payments shall be processed in Turkish Lira (TRY) via bank transfer to the vendor's designated account in Turkey Istanbul.
3. Delivery and Commencement: The Occupational Therapist shall report for duty no later than 01 August 2025 at the Meridian Health facility in Şişli, Istanbul. The equipment package must be delivered and installed no later than 25 July 2025. Any delay exceeding five (5) business days shall entitle the buyer to a penalty of 0.5% of the delayed item's value per day.
4. Contract Duration and Renewal: The primary term of this Purchase Order is twelve (12) months from the commencement date. Renewal shall be subject to mutual written agreement and a satisfactory performance review of the Occupational Therapist conducted by the Istanbul site manager.
5. Confidentiality and Data Protection: The Occupational Therapist shall comply with Turkey's Personal Data Protection Law (KVKK – Law No. 6698) and all patient records shall be stored in accordance with the Istanbul Health Directorate's data retention protocols. A non-disclosure agreement must be executed prior to the first day of service.
6. Insurance and Liability: The vendor shall maintain professional indemnity insurance with a minimum coverage of TRY 2,000,000 for the duration of the engagement. The Occupational Therapist shall be covered under the vendor's group health and accident insurance policy registered with SGK in Turkey Istanbul.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of gross professional misconduct or loss of the Occupational Therapist's licence by the Turkish Ministry of Health, the buyer may terminate immediately without penalty.
8. Governing Law and Dispute Resolution: This Purchase Order shall be governed by the laws of the Republic of Turkey. Any disputes arising from this agreement shall be resolved by the competent courts in Istanbul, Turkey. The parties agree to attempt mediation through the Istanbul Chamber of Commerce before initiating litigation.
