- 3.1 — This Purchase Order is governed by the laws of England and Wales. Any disputes arising from the interpretation or performance of this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
- 3.2 — All Occupational Therapist personnel engaged under this Purchase Order must hold current registration with the Health and Care Professions Council (HCPC) and possess a minimum of three years' post-qualification clinical experience in the relevant speciality.
- 3.3 — The Supplier shall ensure that all Occupational Therapist staff are based within or have a primary clinical site in the United Kingdom Birmingham area to guarantee timely attendance at patient appointments and multidisciplinary team meetings.
- 3.4 — Payment terms: Net 30 days from receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-BHM-04782) and include the Supplier's VAT registration number.
- 3.5 — The Buyer reserves the right to audit service delivery, clinical documentation, and patient outcome data on a quarterly basis. The Supplier shall provide full access to all Occupational Therapist case notes and progress reports held in Birmingham, United Kingdom.
- 3.6 — Cancellation: Either party may terminate this Purchase Order with 60 days' written notice. In the event of early termination, the Supplier shall be compensated for services rendered up to the termination date, less any unused adaptive equipment allocations.
- 3.7 — Data Protection: All patient data processed by the Occupational Therapist team shall comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Data storage and processing shall occur within the United Kingdom.
- 3.8 — The Supplier warrants that all Occupational Therapist services delivered in United Kingdom Birmingham will meet the clinical standards set by the Royal Association of Occupational Therapists (RAOT) and the National Institute for Health and Care Excellence (NICE) guidelines.
Service commencement is scheduled for 1 September 2025. All Occupational Therapist personnel must complete the Trust's mandatory induction, safeguarding training, and site-specific orientation at the Birmingham, United Kingdom facilities no later than 25 August 2025. The Supplier shall submit a named-staffing schedule, including qualifications, HCPC registration numbers, and right-to-work documentation, to the Buyer's Procurement Department at least 14 days prior to the commencement date.
