All services under this Purchase Order shall be delivered and performed within the United Kingdom Manchester metropolitan region. The primary service delivery site is the Royal Manchester Hospital, Deansgate, Manchester, M3 4ER. Community-based services shall be conducted at the patient's residence or at designated community health centres across the Manchester, Salford, Tameside, and Stockport local authority areas. The Occupational Therapist is expected to be based in Manchester, United Kingdom, and shall not be required to travel outside the Greater Manchester boundary without prior written authorisation from the Procurement Officer.
- Contract Duration: This Purchase Order is valid for a period of twelve (12) months commencing on 01 September 2025 and expiring on 31 August 2026, unless terminated earlier in accordance with Clause 9.
- Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice in accordance with the Prompt Payment Code. All payments shall be made via BACS transfer to the supplier's nominated bank account in the United Kingdom.
- Professional Registration: The Occupational Therapist engaged under this Purchase Order must hold current registration with the Health and Care Professions Council (HCPC) and valid professional indemnity insurance with a minimum cover of £5,000,000 per claim.
- Compliance: The supplier shall comply with all applicable United Kingdom legislation, including the Equality Act 2010, the Data Protection Act 2018 (UK GDPR), the Health and Safety at Work etc. Act 1974, and all NHS England commissioning standards relevant to Occupational Therapy services in Manchester.
- Confidentiality: All patient records, clinical notes, and service data generated in the course of delivering Occupational Therapy services in United Kingdom Manchester shall be treated as strictly confidential and handled in accordance with NHS Information Governance policy.
- Performance Standards: The Occupational Therapist shall meet the Key Performance Indicators (KPIs) set out in Schedule A of this Purchase Order, including a minimum of 90% patient satisfaction score, completion of all scheduled assessments within 48 hours of referral, and participation in at least two multidisciplinary team meetings per week.
- Insurance: The supplier shall maintain public liability insurance of not less than £10,000,000 and professional indemnity insurance throughout the term of this Purchase Order.
- Anti-Bribery and Corruption: The supplier warrants that it shall comply with the UK Bribery Act 2010 and shall not offer, give, or accept any bribe in connection with the performance of this Purchase Order.
- Termination: Either party may terminate this Purchase Order with ninety (90) days' written notice. The Purchasing Organisation may terminate immediately for material breach, insolvency, or failure to maintain HCPC registration of the Occupational Therapist.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, with venue in Manchester, United Kingdom.
This Purchase Order constitutes a formal and binding request for the provision of Occupational Therapist services as described herein. By signing below, both parties acknowledge and agree to the terms, conditions, scope of work, and financial obligations set out in this document. The Occupational Therapist services shall commence no earlier than the date specified in Section 1 and shall be delivered in full compliance with all United Kingdom Manchester local authority and NHS commissioning requirements.
