Terms and Conditions

1. This Purchase Order is issued by Pacific Coast Rehabilitation & Wellness Center for the procurement of Occupational Therapist professional services to be rendered in the United States Los Angeles metropolitan area. All Occupational Therapist personnel engaged under this Purchase Order must hold a current, active license issued by the California Board of Occupational Therapy and maintain malpractice insurance with a minimum coverage of $2,000,000 per occurrence.
2. The Occupational Therapist services described herein shall be performed in strict compliance with all applicable federal, state, and local regulations governing healthcare delivery in the United States Los Angeles jurisdiction, including but not limited to HIPAA, California Health & Safety Code, and the Americans with Disabilities Act.
3. Payment shall be made via electronic funds transfer (EFT) to the vendor account designated on the invoice. Invoices must reference this Purchase Order number (PO-2025-OT-00472) and shall be submitted on the last business day of each calendar month. Late payments beyond the Net 30 period shall accrue interest at a rate of 1.5% per month.
4. The vendor, Angel City Occupational Therapy Group, LLC, warrants that all Occupational Therapist professionals assigned under this Purchase Order possess the requisite educational credentials (Master's degree or higher in Occupational Therapy), clinical experience, and competency to deliver the specified services in the United States Los Angeles healthcare environment.
5. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall be obligated to pay for all Occupational Therapist services rendered up to the effective date of termination. No penalty shall apply for early termination initiated by the buyer for cause, including but not limited to material breach of contract, loss of professional licensure, or failure to meet quality benchmarks.
6. All Occupational Therapist clinical records, patient data, and treatment documentation generated under this Purchase Order shall remain the property of Pacific Coast Rehabilitation & Wellness Center and shall be stored in accordance with California Confidentiality of Medical Information Act (CMIA) requirements. The vendor shall execute a Business Associate Agreement (BAA) prior to the commencement of services.
7. This Purchase Order is governed by the laws of the State of California, United States. Any disputes arising from or related to this Purchase Order shall be resolved through binding arbitration in the United States Los Angeles County, in accordance with the rules of the American Arbitration Association.
8. The vendor shall provide a detailed monthly performance report outlining the number of Occupational Therapist sessions delivered, patient outcomes, no-show rates, and any incidents or near-misses. Failure to submit reports for two consecutive months shall constitute a material breach of this Purchase Order.
