- Scope of Services: This Purchase Order authorizes the procurement of Occupational Therapist professional services as itemized above. All Occupational Therapist personnel assigned to this contract must hold current, active licensure issued by the Florida Board of Occupational Therapy and must maintain certification in good standing throughout the service period in the United States Miami jurisdiction.
- Compliance: The Seller shall ensure that all Occupational Therapist staff comply with all applicable federal, state, and local regulations governing healthcare delivery in Miami, Florida, United States. This includes adherence to HIPAA privacy standards, the Americans with Disabilities Act (ADA), and Florida Statutes Chapter 464 (Occupational Therapy).
- Performance Standards: The Occupational Therapist services shall be rendered in a professional, timely, and patient-centered manner. Clinical documentation, progress notes, and outcome reports must be submitted to the Buyer within 48 hours of each treatment session. Failure to meet documentation deadlines for three consecutive weeks shall constitute a material breach of this Purchase Order.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment is due within thirty (30) calendar days of the Buyer's receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Florida commercial law. All payments shall be made in United States Dollars via ACH transfer to the account designated by the Seller.
- Insurance Requirements: The Seller must maintain, at its own expense, professional liability (malpractice) insurance with a minimum coverage of $2,000,000 per occurrence and $5,000,000 aggregate, as well as general liability insurance of $1,000,000. Certificates of insurance naming the Buyer as an additional insured must be provided prior to the commencement of services in the United States Miami service area.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for cause, including but not limited to: loss of Occupational Therapist licensure, gross negligence, violation of patient confidentiality, or failure to meet contractual performance standards. Upon termination, the Seller shall be compensated for all services rendered through the effective date of termination.
- Confidentiality: All patient records, clinical data, and proprietary treatment methodologies exchanged under this Purchase Order shall be treated as strictly confidential. The Occupational Therapist personnel are bound by non-disclosure obligations that survive the termination of this agreement for a period of five (5) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Florida, United States. Any disputes arising hereunder shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or acts of war affecting the United States Miami region.
- Entire Agreement: This Purchase Order, together with any attached exhibits and the Master Service Agreement dated January 15, 2025, constitutes the entire agreement between the parties regarding the procurement of Occupational Therapist services. No modification shall be valid unless made in writing and signed by authorized representatives of both parties.
