Service Location: MediCare Rehabilitation & Therapy Center, 128 Nguyen Van Linh Street, Ward 1, Binh Thanh District, Vietnam Ho Chi Minh City.

Equipment Delivery: All physical equipment listed under Line Items 3 and 4 shall be delivered to the above address in Vietnam Ho Chi Minh City no later than 28 June 2025. The Supplier shall be responsible for all transportation, installation, and initial calibration of the Occupational Therapy equipment. The Occupational Therapist assigned under this Purchase Order shall inspect and sign off on all delivered items within three (3) business days of delivery.

Contract Duration: This Purchase Order covers a period of twelve (12) months, from 1 July 2025 to 30 June 2026, subject to renewal by mutual written agreement of both parties.

Payment for services rendered under this Purchase Order shall be made on a monthly basis. The Buyer shall issue payment within fifteen (15) calendar days of receiving a valid invoice from the Supplier. Payment shall be made via bank transfer to the Supplier's designated account at Vietcombank, Branch District 1, Vietnam Ho Chi Minh City, Account No. 0091001234567, Account Name: Saigon Allied Health Professionals JSC.

For the equipment items (Line Items 3 and 4), a 50% advance payment shall be due upon signing of this Purchase Order, with the remaining 50% due upon successful delivery and acceptance of all equipment at the Vietnam Ho Chi Minh City facility.

All amounts stated in this Purchase Order are in Vietnamese Dong (VND) and are inclusive of all applicable local taxes unless otherwise noted. The Buyer reserves the right to withhold payment for any services not rendered in accordance with the specifications outlined herein.

5.1 Professional Qualifications: The Occupational Therapist(s) assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Occupational Therapy from an institution recognized by the Ministry of Education and Training of Vietnam, and must possess a valid practicing license issued by the Vietnam Ho Chi Minh City Department of Health. The Supplier warrants that all Occupational Therapists deployed shall maintain current licensure throughout the contract period.

5.2 Compliance: All services shall be performed in strict accordance with the Occupational Therapy practice standards established by the Vietnamese Association of Occupational Therapists and the regulatory framework of the Ministry of Health. The Occupational Therapist shall adhere to all patient confidentiality requirements under Vietnamese data protection law.

5.3 Performance Standards: The Occupational Therapist shall conduct a minimum of twenty (20) individual patient sessions per week and four (4) group therapy sessions per week. Monthly performance reports shall be submitted to the Buyer's Clinical Director by the fifth (5th) business day of each month.

5.4 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued payment obligations.

5.5 Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the Vietnam International Arbitration Centre (VIAC) in Vietnam Ho Chi Minh City, in accordance with its rules of procedure.

5.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, including the Civil Code, the Commercial Law, and all applicable regulations specific to the healthcare sector in Vietnam Ho Chi Minh City.
