All items referenced in this Purchase Order shall be delivered to the receiving facility of the Instituto de Investigaciones Oceánicas del Plata, located at Av. del Libertador 2200, Argentina Buenos Aires, no later than September 30, 2025. The Seller is responsible for all packaging, export documentation, and international freight. Upon arrival at the Port of Argentina Buenos Aires, the Buyer's designated customs broker shall handle import clearance. The Oceanographer, Dr. Méndez, or his designated technical representative, shall be present at the time of delivery to inspect and verify the condition and completeness of all equipment. Installation and initial calibration of the AUV and ADCP systems shall be performed by the Seller's certified technicians on-site in Argentina Buenos Aires within fourteen (14) business days of delivery.
Payment for this Purchase Order shall be made via irrevocable letter of credit issued by Banco de la Nación Argentina, payable in United States Dollars (USD). The payment schedule is as follows: forty percent (40%) upon execution of this Purchase Order; thirty-five percent (35%) upon shipment confirmation and presentation of bill of lading; and twenty-five percent (25%) upon successful delivery, inspection, and acceptance of all goods by the Oceanographer in Argentina Buenos Aires. Late payments shall incur a penalty of 1.5% per month as stipulated under Argentine commercial law.
The Seller warrants that all equipment procured under this Purchase Order shall be new, free from defects in material and workmanship, and fully compliant with the specifications required for the Oceanographer's research program. A minimum warranty period of twenty-four (24) months from the date of acceptance in Argentina Buenos Aires is provided. The Seller shall maintain a technical support hotline accessible to the Oceanographer and his research team during all standard business hours. Spare parts and consumables required for the first two years of operation shall be included at no additional cost.
This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered by the Argentine Chamber of Commerce in Argentina Buenos Aires, in accordance with its rules of procedure. The language of arbitration shall be English. Both parties acknowledge that the Oceanographer's research schedule is time-sensitive, and any dispute resolution process shall not exceed ninety (90) days from the date of filing.
By signing below, both parties confirm their agreement to all terms, conditions, and specifications outlined in this Purchase Order. The Buyer authorizes the release of funds for the procurement of oceanographic equipment for the Oceanographer's research program in Argentina Buenos Aires. The Seller confirms availability of all listed items and commits to the delivery timeline specified herein.
