2. SCOPE OF PURCHASE ORDER

This Purchase Order is issued by the Marine Research Institute of Victoria to procure the professional services of a qualified Oceanographer along with associated marine scientific instrumentation and field equipment. All services and deliveries under this Purchase Order shall be performed and delivered within the metropolitan and coastal regions of Australia Melbourne, including but not limited to Port Phillip Bay, the Yarra River estuary, and the offshore waters of the Bay of Victoria. The Oceanographer engaged under this Purchase Order shall hold a minimum of a Master's degree in Oceanography or a related marine science discipline and shall possess a valid Australian Working at Heights and Marine Safety certification.

4. DELIVERY AND PERFORMANCE SCHEDULE

All equipment listed under this Purchase Order shall be delivered to the Marine Research Institute of Victoria facility at 88 Collins Street, Australia Melbourne, VIC 3000, no later than 1 August 2025. The Oceanographer shall commence field operations in Australia Melbourne on or before 15 August 2025 and shall complete all contracted hours by 30 November 2025. The Oceanographer is required to submit a preliminary work plan and risk assessment to the Buyer's project manager within ten (10) business days of this Purchase Order being accepted. All fieldwork shall comply with the Australian Marine Safety Committee (AMSA) regulations and the Victorian Environment Protection Authority (EPA) guidelines applicable to Australia Melbourne waters.

5. TERMS AND CONDITIONS
  1. This Purchase Order is governed by the laws of the State of Victoria, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved through the Victorian Civil and Administrative Tribunal (VCAT) or the Federal Court of Australia, Melbourne jurisdiction.
  2. The Oceanographer engaged under this Purchase Order shall maintain professional indemnity insurance of no less than AUD $10,000,000 and public liability insurance of no less than AUD $20,000,000 for the duration of the contract in Australia Melbourne.
  3. Payment terms: 30% deposit upon acceptance of this Purchase Order; 40% upon delivery and commissioning of all equipment in Australia Melbourne; 30% upon final acceptance of the Oceanographer's completed fieldwork report. All payments shall be made via electronic funds transfer (EFT) to the Seller's nominated Australian bank account.
  4. The Oceanographer shall provide weekly progress reports to the Buyer and shall attend a monthly review meeting at the Buyer's office in Australia Melbourne.
  5. All data collected by the Oceanographer during operations in Australia Melbourne waters shall be the intellectual property of the Buyer. The Oceanographer shall not publish, share, or distribute any data without written consent.
  6. The Seller warrants that all equipment supplied under this Purchase Order is new, free from defects, and fully compliant with Australian Standards (AS/NZS) for marine scientific instruments.
  7. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Oceanographer shall be compensated for all hours worked and equipment delivered up to the date of termination in Australia Melbourne.
  8. The Seller shall comply with all Australian workplace health and safety (OH&S) legislation, including the Occupational Health and Safety Act 2004 (Vic), for all personnel operating in Australia Melbourne.
