All services and equipment referenced in this Purchase Order shall be delivered and performed within the Australia Sydney metropolitan area and its designated coastal research zones. The Oceanographer shall commence fieldwork no later than 1 August 2025 and complete all data collection by 30 November 2025. Equipment deliveries to the University of Sydney Research Institute facility in Australia Sydney shall be made within fourteen (14) business days of the date of this Purchase Order. The Oceanographer is required to submit interim progress reports to the Buyer every thirty (30) days, with all reports referencing the specific Australia Sydney coastal zones surveyed.
Payment for this Purchase Order shall be made in three (3) instalments via electronic funds transfer (EFT) to the Oceanographer's nominated Australian bank account:
- Instalment 1 (40%): AUD $71,698.00 – due upon acceptance of this Purchase Order and delivery of all equipment to the Australia Sydney research facility.
- Instalment 2 (35%): AUD $62,735.75 – due upon completion of the 90-day autonomous glider deployment and submission of the interim data report.
- Instalment 3 (25%): AUD $44,811.25 – due upon delivery and acceptance of the final research report and all archived datasets by the Oceanographer.
All payments are subject to the terms outlined in this Purchase Order. Late payments shall incur interest at the rate of 2% per month, in accordance with Australian commercial law applicable in Australia Sydney.
- This Purchase Order is governed by the laws of the State of New South Wales, Australia, and the Commonwealth of Australia. Any disputes arising from this Purchase Order shall be resolved through mediation in Australia Sydney before proceeding to litigation.
- The Oceanographer warrants that all services rendered and equipment supplied under this Purchase Order comply with the Australian Marine Safety Committee (AMSA) regulations, the Environment Protection and Biodiversity Conservation Act 1999 (Cth), and all applicable New South Wales coastal and marine zoning laws relevant to Australia Sydney.
- The Oceanographer shall maintain full professional indemnity and public liability insurance with a minimum coverage of AUD $10,000,000 for the duration of this Purchase Order, with the University of Sydney Research Institute named as an additional insured party.
- All data, samples, and intellectual property generated by the Oceanographer under this Purchase Order shall be the sole property of the Buyer. The Oceanographer may reference the Australia Sydney research site in academic publications only with prior written consent from the Buyer.
- The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice if the Oceanographer fails to meet the performance milestones outlined in Section 4. In such an event, the Buyer shall be liable only for services and equipment already delivered and accepted.
- All equipment delivered under this Purchase Order shall be inspected upon arrival at the Australia Sydney facility. Any defects or non-conformities must be reported within five (5) business days of delivery.
- This Purchase Order does not constitute a guarantee of specific research outcomes. The Oceanographer shall exercise professional judgement in the conduct of all oceanographic fieldwork within Australia Sydney waters.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order. This document constitutes a binding commercial agreement for the procurement of Oceanographer services and associated equipment for use in Australia Sydney.
