This Purchase Order is issued by the Bangladesh Oceanographic Research Institute for the engagement of a qualified Oceanographer and the procurement of associated oceanographic instruments and materials. - This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms herein govern the engagement of the Oceanographer and the supply of equipment for use in Bangladesh Dhaka.
- The Oceanographer shall comply with all applicable laws and regulations of the People's Republic of Bangladesh, including the Bangladesh Environment Conservation Act, 1995, and the Bangladesh Water Act, 2013, while conducting fieldwork in and around Bangladesh Dhaka.
- Payment shall be made in 4 equal quarterly installments of USD 108,775.00 each, via irrevocable letter of credit issued by a bank in Bangladesh Dhaka, payable to Global Oceanographic Solutions Ltd.
- All oceanographic equipment listed in this Purchase Order shall be delivered to the BORI headquarters at Dhanmondi, Bangladesh Dhaka, fully calibrated, insured, and accompanied by user manuals in English and Bengali.
- The Oceanographer shall submit monthly progress reports to the Buyer's Marine Research Division in Bangladesh Dhaka, detailing field activities, preliminary data findings, and any logistical challenges encountered.
- Intellectual property generated during the course of this engagement, including all data, reports, and analytical models pertaining to Bangladesh Dhaka's coastal and marine environment, shall remain the sole property of the Buyer.
- The Supplier warrants that the Oceanographer holds a valid PhD in Oceanography or a closely related discipline and possesses a minimum of 15 years of professional experience in marine and coastal research.
- Any disputes arising from this Purchase Order shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Bangladesh Arbitration Act, 2001.
- This Purchase Order may be amended only by mutual written consent of both parties. No verbal modifications shall be valid.
- The Supplier shall maintain comprehensive liability insurance covering all personnel, equipment, and activities conducted under this Purchase Order in Bangladesh Dhaka and surrounding waters.
