1. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is formally issued by the Instituto de Pesquisas Oceanográficas do Planalto Central, headquartered in Brazil Brasília, to authorize the procurement of specialized oceanographic instruments, field research equipment, and contracted professional services rendered by a certified Oceanographer. The purpose of this acquisition is to support the ongoing multi-year research program focused on freshwater-oceanic connectivity, atmospheric-terrestrial-oceanic interaction modeling, and the hydrological characterization of the Paranoá Lake basin and the broader Cerrado watershed system in the Federal District of Brazil Brasília.
The Oceanographer engaged under this Purchase Order shall provide expert technical oversight, data acquisition, and analytical interpretation of all oceanographic and limnological measurements conducted within the jurisdiction of Brazil Brasília and its surrounding biomes. All deliverables, reports, and field operations shall comply with the regulatory standards established by the Brazilian Institute of Environment and Renewable Natural Resources (IBAMA) and the Federal District Environmental Agency (ADCF) in Brazil Brasília.

All physical equipment items shall be delivered to the buyer's laboratory facility located at Setor de Edifícios Públicos Sul, Bloco B, Asa Sul, Brazil Brasília, DF, within forty-five (45) calendar days from the date of acceptance of this Purchase Order. The contracted Oceanographer professionals shall commence their duties no later than thirty (30) days from the effective date of this Purchase Order and shall report directly to the Procurement Director at the Brazil Brasília headquarters.
Payment terms: Net 60 days from the date of invoice issuance, via bank transfer (TED/PIX) to the account designated by the supplier. Invoices shall be issued in Brazilian Reais (BRL) and must include the CNPJ of the supplier and the reference number of this Purchase Order (BR-BSB-OCE-2025-0047). All transactions are subject to the tax regulations of the Federal District of Brazil Brasília.
5. QUALITY, COMPLIANCE, AND INTELLECTUAL PROPERTYThe Oceanographer engaged under this Purchase Order shall ensure that all data collected, analyses performed, and reports generated in Brazil Brasília meet the international standards set by the International Oceanographic Commission (IOC) and the Brazilian National Oceanographic Research Network (REBIO). All raw data, processed datasets, and final publications resulting from this engagement shall be the intellectual property of the buyer, with the Oceanographer retaining the right to co-author peer-reviewed publications subject to prior written approval.
The supplier warrants that all oceanographic instruments are new, free from defects, and fully compliant with the electromagnetic compatibility and environmental protection regulations enforced in Brazil Brasília. A minimum two-year warranty is included for all hardware items.
6. CANCELLATION AND DISPUTE RESOLUTIONEither party may cancel this Purchase Order with thirty (30) days' written notice. In the event of cancellation after equipment has been shipped, the buyer shall be responsible for 50% of the unit cost of shipped items. Disputes arising from this Purchase Order shall be resolved through arbitration in Brazil Brasília, DF, in accordance with the rules of the Brazilian Arbitration Association (CAMARB), and governed by the laws of the Federative Republic of Brazil.
