All physical goods listed in this Purchase Order shall be delivered to the IPORJ facility at Av. Pasteur, 250, Urca, Rio de Janeiro, RJ, Brazil, no later than 01 August 2025. The supplier is responsible for all packaging, crating, international shipping, Brazilian customs clearance, and final delivery to the designated receiving dock. The Oceanographer, Dr. Marina Costa-Silva, or her designated representative, shall be present at the time of delivery to inspect all items and sign the delivery receipt. Any damage discovered during inspection must be reported in writing within 48 hours of receipt. Installation and initial calibration of all systems shall be completed within 15 business days of delivery, with the on-site technical support engineer (Line 05) available throughout this period to ensure the Oceanographer's research schedule is not disrupted.
Payment shall be made in accordance with the following schedule: (a) 30% advance payment (R$ 1,358,707.66) due within 15 business days of the supplier's written acceptance of this Purchase Order; (b) 50% (R$ 2,264,512.77) due upon confirmed delivery and successful inspection of all goods at the Rio de Janeiro facility; (c) 20% (R$ 905,805.11) due upon completion of the training program and final system acceptance sign-off by the Oceanographer. All payments shall be made via international wire transfer to the supplier's designated bank account. The exchange rate for BRL conversions shall be the Central Bank of Brazil (Banco Central do Brasil) reference rate on the date of each payment. Late payments shall accrue interest at the rate of 1% per month, compounded monthly, in accordance with Brazilian commercial law (Código Civil, Art. 406).
The supplier warrants that all equipment delivered under this Purchase Order shall be new, unused, and free from defects in materials and workmanship for a period of no less than 24 months from the date of final acceptance. All oceanographic instruments shall carry valid CE marking and, where applicable, ANATEL certification for radio-frequency components operating in Brazilian waters. The software license (Line 08) shall include full source-code escrow and a 5-year maintenance agreement. The supplier further warrants that all services, including on-site calibration and training, shall be performed by personnel holding relevant oceanographic or marine engineering credentials. All goods and services must comply with the environmental regulations of the state of Rio de Janeiro and the federal norms of the Brazilian Institute of Environment and Renewable Natural Resources (IBAMA).
This Purchase Order is governed by the laws of the Federative Republic of Brazil. Any disputes arising from or in connection with this Purchase Order shall be resolved by arbitration in the city of Rio de Janeiro, RJ, Brazil, in accordance with the rules of the CAMARB (Câmara de Arbitragem do Mercado). The supplier acknowledges that the procured equipment is intended for scientific oceanographic research conducted by a qualified Oceanographer in the marine waters adjacent to Rio de Janeiro, Brazil, and shall not be used for any purpose other than that described herein. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements. No modification or amendment to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both parties.
