- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Supplier upon signature by both authorized representatives. All terms are governed by the laws of the Federative Republic of Brazil, with the state of São Paulo as the primary jurisdiction for dispute resolution.
- All equipment and services procured under this Purchase Order shall be delivered to the designated facility in Brazil São Paulo (Av. Eng. Luís Carlos Berrini, 1500, Brooklin Novo, São Paulo – SP). The Supplier assumes full responsibility for international freight, Brazilian customs clearance, ICMS state tax, and any applicable import duties until the goods are received and signed for by the buyer's logistics officer in Brazil São Paulo.
- The Supplier warrants that all instruments and systems are new, factory-sealed, and fully compliant with the International Organization for Standardization (ISO) 17025 calibration standards. The Oceanographer assigned to the project shall have unrestricted access to all technical documentation, firmware updates, and manufacturer support channels for the duration of the twelve-month research program.
- Payment shall be made in Brazilian Reais (BRL) via bank transfer to the account specified by the Supplier. Invoices are due within forty-five (45) calendar days from the date of confirmed receipt and acceptance of goods or services in Brazil São Paulo. Late payments shall accrue interest at the rate of 1% per month, compounded monthly, in accordance with Brazilian commercial law.
- The Supplier shall provide a minimum of ninety (90) days' written notice before any price adjustment. No price changes shall apply to items already in transit or already delivered to the buyer's facility in Brazil São Paulo.
- All training and technical support services (Item 06) shall be conducted in Brazil São Paulo at the buyer's premises. The Supplier's Oceanographer technical specialist shall bear their own international travel and accommodation costs. The buyer shall provide on-site workspace, power, and basic logistical support during the training period.
- Warranty: All hardware items carry a minimum two-year manufacturer warranty from the date of delivery in Brazil São Paulo. The Supplier shall respond to any warranty claim within five (5) business days and provide replacement or repair within fifteen (15) business days.
- Confidentiality: Both parties agree that all data, methodologies, and proprietary information exchanged under this Purchase Order shall be treated as strictly confidential.
