This Purchase Order is issued by the Toronto Marine Sciences Institute for the acquisition, delivery, installation, and initial calibration of the Oceanographer Integrated Research and Environmental Monitoring System. The Oceanographer system is a state-of-the-art oceanographic platform designed for deep-water sampling, real-time water quality analysis, bathymetric mapping, and long-term environmental data collection. This Purchase Order governs all commercial terms, delivery obligations, and warranty conditions applicable to the Oceanographer equipment package to be deployed at the buyer's research facility located in Canada Toronto.
The Oceanographer system shall be delivered, assembled, and made fully operational at the buyer's designated laboratory and field station in Canada Toronto no later than the delivery date specified in Section 4 of this Purchase Order. All components of the Oceanographer package must comply with Canadian federal and provincial environmental regulations, as well as the Ontario Occupational Health and Safety Act, prior to installation in Canada Toronto.

The seller shall deliver all Oceanographer components to the buyer's facility at 1200 Lake Shore Boulevard West, Canada Toronto, Ontario, no later than August 15, 2025. Delivery shall be made via insured freight carrier with proof of delivery signed by the buyer's receiving manager. Installation, calibration, and initial system testing of the Oceanographer platform shall be completed within ten (10) business days of delivery at the Canada Toronto site. The seller is responsible for all transportation, handling, and on-site assembly costs as reflected in this Purchase Order.
Payment for this Purchase Order shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the seller's designated account. The buyer shall remit payment within forty-five (45) calendar days of the date of the seller's invoice, provided that all Oceanographer equipment has been delivered, installed, and has passed the buyer's acceptance inspection at the Canada Toronto facility. A 1.5% monthly late-payment interest shall apply to any outstanding balance beyond the Net 45 period.
Upon completion of installation, the buyer's technical team shall conduct a seventy-two (72) hour operational test of the Oceanographer system at the Canada Toronto site. The buyer shall issue a written Acceptance Certificate or a Notice of Non-Conformity within five (5) business days of the test period. Any non-conforming Oceanographer components must be repaired or replaced by the seller at no additional cost within fifteen (15) business days.
The Oceanographer system carries a five (5) year comprehensive warranty from the date of acceptance, covering all hardware, firmware, and software components. The seller shall provide priority technical support (24/7 phone and remote access) and on-site service visits in Canada Toronto within forty-eight (48) hours of a reported critical failure. Routine preventive maintenance visits shall be conducted quarterly at the Canada Toronto installation site.
8.1 This Purchase Order constitutes the entire agreement between the parties regarding the Oceanographer system and supersedes all prior negotiations, representations, or agreements.
8.2 This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Canada Toronto.
8.3 The seller warrants that all Oceanographer equipment is free from defects in materials and workmanship and is fit for oceanographic research purposes in the freshwater and coastal environments surrounding Canada Toronto.
8.4 Neither party shall be liable for indirect, incidental, or consequential damages arising from this Purchase Order. The seller's total liability shall not exceed the total amount stated in this Purchase Order.
8.5 The seller shall maintain full product liability insurance and commercial general liability insurance with a minimum coverage of CAD $5,000,000 for the duration of this Purchase Order and the warranty period.
8.6 Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding the Oceanographer system or delivery in Canada Toronto shall be void.
