This Purchase Order is issued by the Northwest Pacific Marine Research Institute to formally engage the services of a qualified Oceanographer for a comprehensive marine environmental assessment project conducted within the coastal waters surrounding Canada Vancouver. 4.1 — This Purchase Order constitutes a binding agreement between the Buyer and the Oceanographer supplier upon signature by both parties. All services described herein shall be performed exclusively within the jurisdiction of Canada Vancouver, British Columbia, unless otherwise authorized in writing by the Buyer.
4.2 — The Oceanographer shall maintain all necessary professional certifications, marine research permits, and environmental compliance documentation throughout the duration of this Purchase Order. Failure to maintain valid credentials shall constitute grounds for immediate termination.
4.3 — Payment shall be rendered within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-2025-VAN-04872) and the applicable line item numbers.
4.4 — All data, reports, and intellectual property generated under this Purchase Order by the Oceanographer shall become the sole property of the Northwest Pacific Marine Research Institute upon full payment.
4.5 — The Oceanographer shall comply with all occupational health and safety standards as mandated by WorkSafeBC for marine field operations in the Canada Vancouver area. Personal protective equipment and vessel safety certifications are mandatory.
4.6 — Any changes to the scope of work, timeline, or deliverables under this Purchase Order must be documented in a formal Change Order signed by both parties prior to execution.
4.7 — This Purchase Order is governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in the Canada Vancouver region. Disputes shall be resolved through arbitration in Vancouver, BC.
The Oceanographer shall commence fieldwork no later than June 30, 2025, and all deliverables under this Purchase Order shall be completed and submitted no later than September 15, 2025. All physical deliverables (sample containers, hard-copy reports) shall be delivered to the Buyer's office at 1200 West Hastings Street, Vancouver, Canada Vancouver. Digital deliverables shall be transmitted via the Buyer's secure project portal.
