This Purchase Order is issued by the Beijing Oceanographic Research Institute to procure specialized oceanographic research equipment, calibration instruments, and technical support services. The primary end-user of all items listed herein is Dr. Marina Kowalski, Senior Oceanographer, who will be conducting a twelve-month deep-water and coastal marine research program based out of China Beijing. All physical goods listed in this Purchase Order shall be delivered to the Beijing Oceanographic Research Institute facility located at No. 8, Chaoyang District, China Beijing, no later than August 15, 2025. Delivery shall be made in accordance with the DDP (Delivered Duty Paid) Incoterm, meaning the supplier assumes all risk, cost, and responsibility for transportation, insurance, customs clearance, and final delivery to the Oceanographer's designated receiving dock in China Beijing.

The Oceanographer, Dr. Marina Kowalski, or her authorized representative, shall conduct a comprehensive acceptance inspection within ten (10) business days of delivery. Any equipment found to be damaged, defective, or non-conforming to the specifications in this Purchase Order must be reported in writing to the supplier within the inspection period. The supplier shall replace or repair non-conforming items at no additional cost within thirty (30) days of notification.

Payment for this Purchase Order shall be made via irrevocable letter of credit issued by the Bank of China, Beijing Branch, in favor of Global Oceanographic Instruments Ltd. A 30% advance payment shall be due upon execution of this Purchase Order. The remaining 70% balance shall be due within forty-five (45) calendar days following the Oceanographer's written acceptance of all delivered goods in China Beijing. All payments shall be made in US Dollars (USD) unless otherwise agreed in a written amendment to this Purchase Order.

The supplier warrants that all oceanographic instruments and equipment procured under this Purchase Order comply with the applicable regulations of the People's Republic of China, including but not limited to the Customs Law of the PRC, the Import and Export Administration regulations, and the specific environmental and marine research permits required for operation in the waters adjacent to China Beijing. The Oceanographer's research activities are conducted under Permit No. MNSC-2025-0341 issued by the National Marine Science Committee, and all equipment must be traceable and compliant with the conditions of that permit.

NOTE: This Purchase Order is specifically tailored to support the Oceanographer's twelve-month research deployment in China Beijing. Any modification to the scope, quantities, or specifications must be executed through a formal written amendment signed by both parties. The Oceanographer retains final authority over the technical acceptance of all instruments delivered under this Purchase Order.

The supplier provides a minimum two-year warranty on all oceanographic hardware items listed in this Purchase Order, covering defects in materials and workmanship. The warranty period commences on the date of the Oceanographer's written acceptance in China Beijing. The supplier's liability under this Purchase Order shall not exceed the total Purchase Order value. Neither party shall be liable for indirect, incidental, or consequential damages arising from the performance or non-performance of this Purchase Order.

This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation between the parties. If unresolved within sixty (60) days, the dispute shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing. The arbitral award shall be final and binding upon both parties.

This Purchase Order is executed in two (2) original counterparts, one for each party. The Oceanographer's signature below confirms the technical specifications and acceptance criteria outlined herein.
