1. Purpose and Scope of This Purchase Order

This Purchase Order is issued by the Shanghai Maritime Research Institute to formally authorize the procurement of specialized oceanographic instrumentation, sensor arrays, and technical support services required for the deployment of a senior Oceanographer conducting a twelve-month deep-sea research program along the East China Sea coastline. 3. Delivery and Installation Requirements

All physical goods listed in this Purchase Order shall be delivered to the SMRI Coastal Research Station in China Shanghai no later than 30 August 2025. The Seller is responsible for all packaging, crating, and marine-grade protection of instruments during transit. Upon arrival at the Port of Shanghai, the Seller's designated logistics partner shall coordinate customs clearance in accordance with the People's Republic of China import regulations for scientific and research equipment. The Oceanographer, Dr. Vasquez, will be present on-site to oversee the unloading, initial inspection, and acceptance of each item. Installation and calibration of the multibeam echo sounder and AUV shall be completed within five (5) business days of delivery. The Seller shall provide a written Commissioning Report signed by both the Seller's field engineer and the Buyer's Oceanographer prior to final acceptance.

4. Payment Terms

Payment for this Purchase Order shall be made in United States Dollars (USD) via irrevocable letter of credit issued by Bank of China, Shanghai Branch, in favor of Pacific Oceanographic Instruments Ltd. The payment schedule is as follows: (a) 30% advance payment upon execution of this Purchase Order; (b) 50% upon confirmed shipment and presentation of Bill of Lading; (c) 20% upon successful commissioning, calibration, and written acceptance by the Oceanographer at the China Shanghai site. Late payments shall incur interest at a rate of 1.5% per month. The Seller shall issue a proforma invoice within five (5) business days of this Purchase Order being countersigned.

5. Terms and Conditions
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the United Nations Convention on Contracts for the International Sale of Goods (CISG) and, where applicable, the laws of the People's Republic of China as they pertain to the importation of scientific research equipment into China Shanghai.
  2. Warranty: The Seller warrants that all instruments and components supplied under this Purchase Order shall be new, unused, and free from defects in material and workmanship for a period of twenty-four (24) months from the date of acceptance by the Oceanographer.
  3. Intellectual Property: All data collected by the Oceanographer using the procured equipment in the waters of China Shanghai shall remain the exclusive property of the Shanghai Maritime Research Institute. The Seller shall not claim any rights over research data generated during the project.
  4. Compliance: The Seller certifies that all items comply with PRC customs regulations, environmental standards, and export control laws. The Seller shall provide all necessary documentation, including certificates of origin, compliance declarations, and technical data sheets, to facilitate smooth clearance at the Port of Shanghai.
  5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government embargoes, or port closures affecting the China Shanghai shipping corridor.
  6. Dispute Resolution: Any dispute arising from this Purchase Order shall be resolved through arbitration under the rules of the Shanghai International Arbitration Center (SHIAC), with the seat of arbitration in China Shanghai and the language of proceedings in English.
  7. Confidentiality: Both parties agree to maintain strict confidentiality regarding the technical specifications, pricing, and research objectives associated with the Oceanographer's program. No information contained in this Purchase Order shall be disclosed to third parties without prior written consent.
  8. Amendments: No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the Buyer and the Seller.
6. Acceptance and Authorization
