• 5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both authorized representatives. All terms herein shall be governed by the commercial laws of the Republic of Colombia.
• 5.2 All equipment must arrive at the Colombia Bogotá facility in full working condition, accompanied by original manufacturer documentation, calibration certificates, and user manuals in both Spanish and English.
• 5.3 The Oceanographer consulting services (Item 5) must be performed by a certified marine scientist with a minimum of ten (10) years of experience in tropical oceanographic research. The consultant shall report directly to the ICIO Director of Research Operations.
• 5.4 Delivery of all physical items is required no later than July 15, 2025. Late delivery shall incur a penalty of 0.5% of the total Purchase Order value per calendar day of delay, up to a maximum of 10%.
• 5.5 The Supplier warrants all equipment for a minimum of twenty-four (24) months from the date of acceptance at the Colombia Bogotá site. Warranty service shall be provided within five (5) business days of a reported defect.
• 5.6 Payment shall be made via bank transfer to the Supplier's designated account in Colombian Pesos (COP) at the prevailing exchange rate on the date of invoice, or in US Dollars (USD) as specified in the itemized table above.
• 5.7 The Supplier shall comply with all environmental regulations of Colombia, including proper disposal of any packaging materials and hazardous substances associated with the delivered equipment.
• 5.8 Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements shall not be binding.
• 5.9 The Supplier acknowledges that the equipment procured under this Purchase Order will be used by the ICIO Oceanographer team for scientific research, coastal monitoring, and environmental protection purposes in Colombian territorial waters and the Colombia Bogotá metropolitan area.
• 5.10 Disputes arising from this Purchase Order shall be resolved through arbitration in Colombia Bogotá in accordance with the rules of the Centro de Arbitraje y Conciliación de la Cámara de Comercio de Bogotá.
