TERMS AND CONDITIONS

1. Delivery: All items listed in this Purchase Order shall be delivered to the Universidad Nacional de Colombia, Sede Medellín, located at Calle 45 No. 9 Norte 168, El Poblado, Medellín, Antioquia, Colombia. Delivery must be completed no later than August 15, 2025. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) until the goods are received and inspected at the Medellín facility.

2. Payment Terms: Payment shall be made in two installments: 40% (COP 237,857,200) upon signing of this Purchase Order and confirmation of order acceptance by the supplier; and 60% (COP 356,785,800) within thirty (30) calendar days following successful delivery, inspection, and acceptance of all items by the Lead Oceanographer and the university's procurement office. Payment shall be made via bank transfer to the supplier's designated account in Colombian Pesos (COP).

3. Quality and Compliance: All oceanographic instruments must be new, unused, and accompanied by manufacturer's warranty of no less than twenty-four (24) months. Equipment must meet or exceed the specifications outlined in the attached technical annex. The supplier warrants that all items comply with Colombian environmental regulations, RETIE certification requirements, and applicable international marine research standards.

4. Acceptance and Inspection: Upon delivery in Medellín, the Lead Oceanographer, Dr. Mariana Restrepo-Vargas, or her designated representative, shall have ten (10) business days to inspect and test all delivered equipment. Any item found defective, incomplete, or non-conforming to the specifications of this Purchase Order shall be replaced or repaired by the supplier at no additional cost within fifteen (15) business days.

5. Warranty and Support: The supplier shall provide technical support, spare parts, and recalibration services for a period of three (3) years from the date of acceptance. Response time for technical support requests shall not exceed forty-eight (48) hours. On-site service in Medellín shall be provided at no charge during the first year.

6. Intellectual Property and Data: All data collected using the procured oceanographic equipment by the oceanographer and the research team shall remain the exclusive property of the Universidad Nacional de Colombia, Sede Medellín. The supplier shall not claim any rights over research data, publications, or findings derived from the use of the equipment.

7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Colombia. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Medellín, Antioquia, Colombia.

8. Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government actions, or maritime restrictions imposed by Colombian authorities.

NOTE: This Purchase Order is specifically designated for the use of the Lead Oceanographer, Dr. Mariana Restrepo-Vargas, and her research team at the Universidad Nacional de Colombia, Sede Medellín. The equipment is intended for the multi-year oceanographic monitoring project funded under the Colombian National Research, Development, and Innovation Program (PCTI). All field operations conducted with this equipment in Colombian territorial waters require prior authorization from the Colombian Navy (Armada Nacional de Colombia) and the Ministry of Environment.
