4. DELIVERY TERMS AND SCHEDULE

All items listed in this Purchase Order shall be delivered to the INOHYC Oceanographer vessel berth at the Port of Matadi, DR Congo, no later than 15 November 2025. The supplier shall coordinate all customs clearance documentation with the Direction Générale des Douanes et Accises of the Democratic Republic of Congo. A minimum of 30 days' written notice of shipment shall be provided to the buyer. All equipment must be packed in export-grade, climate-controlled crates suitable for the tropical conditions of Kinshasa and the Congo River basin. The supplier is responsible for all transit risk until the goods are discharged at the Matadi port terminal.

5. PAYMENT TERMS

Payment shall be made in United States Dollars (USD) via irrevocable letter of credit issued by the National Bank of the Democratic Republic of Congo (Banque Nationale du Congo), Kinshasa branch, in favour of Atlantic Oceanographic Systems Ltd. The payment schedule is as follows: 30% advance payment upon signing of this Purchase Order; 50% upon presentation of Bill of Lading and certificate of origin; 20% upon successful commissioning and acceptance of all Oceanographer vessel systems at the Kinshasa facility. Late payments shall attract interest at the rate of 1.5% per month.

6. TERMS AND CONDITIONS
  1. This Purchase Order is governed by the laws of the Democratic Republic of Congo and the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any disputes shall be resolved by arbitration in Kinshasa, DR Congo, under the rules of the OHADA Arbitration Centre.
  2. The supplier warrants that all Oceanographer-class equipment is new, unused, and free from defects in materials and workmanship for a period of 24 months from the date of commissioning in Kinshasa.
  3. The supplier shall provide full technical documentation, user manuals, and calibration certificates in both English and French to accommodate the bilingual staff of INOHYC in Kinshasa.
  4. The buyer reserves the right to inspect and test all equipment upon arrival at the Matadi port and prior to final acceptance at the Kinshasa facility. Non-conforming items must be replaced or repaired at the supplier's sole expense within 30 days.
  5. All intellectual property rights in the Oceanographer data management software remain with the supplier; the buyer is granted a perpetual, non-transferable licence for use exclusively by INOHYC in the DR Congo.
  6. The supplier shall comply with all environmental and customs regulations of the Democratic Republic of Congo, including the submission of a Certificate of Origin and a Phytosanitary Certificate where applicable.
  7. This Purchase Order becomes effective upon signature by both parties and remains valid until full performance of all obligations. Any amendments must be made in writing and signed by both parties.
  8. The supplier shall maintain marine and cargo insurance for the full value of the goods during transit to DR Congo Kinshasa, with the buyer named as loss payee.
