All fieldwork, laboratory analysis, and reporting activities under this Purchase Order shall be executed within the geographic and administrative boundaries of Egypt Alexandria, specifically within the 12-nautical-mile territorial sea zone and the municipal coastal strip. The Oceanographer is required to coordinate with the Egypt Alexandria Port Authority for vessel access and with the local EEAA branch office for environmental permits. No portion of the contracted work may be subcontracted to a third party without prior written approval from the purchasing entity.
- 5.1 – This Purchase Order constitutes a binding agreement between the Buyer and the Oceanographer upon signature by both parties. All terms herein supersede any prior correspondence or verbal agreements.
- 5.2 – The Oceanographer shall commence fieldwork no later than 1 July 2025 and shall complete all deliverables by 30 August 2025. Delays exceeding five (5) working days without documented force-majeure justification will result in a penalty of 1% of the total contract value per day of delay.
- 5.3 – Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon submission of the draft technical report, and 30% upon final acceptance of all deliverables by the Head of the Marine Sciences Division in Egypt Alexandria.
- 5.4 – The Oceanographer warrants that all data collected, instruments used, and methodologies applied comply with ISO 5667 (Water Quality – Sampling) and Egyptian Standard 4520-1 (Marine Environmental Monitoring).
- 5.5 – Intellectual property rights in all reports, datasets, and publications arising from this Purchase Order shall vest in the Alexandria University, Egypt Alexandria, with the Oceanographer retaining the right to cite the work in future academic publications with prior written consent.
- 5.6 – The Oceanographer shall maintain professional liability insurance with a minimum coverage of EGP 2,000,000 for the entire duration of the engagement in Egypt Alexandria.
- 5.7 – Disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Egyptian Arbitration Law No. 27 of 1994, with the seat of arbitration in Egypt Alexandria.
