This Purchase Order is issued by the National Institute of Marine and Oceanographic Sciences to formally procure the professional services of a qualified Oceanographer, along with associated marine research instrumentation, for a twelve-month research engagement to be conducted and administered from the buyer's headquarters in Egypt Cairo.   1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Egypt Cairo.
  2. Performance Period: The Oceanographer shall commence duties no later than 1 July 2025 and shall complete all deliverables by 30 June 2026. All fieldwork, data processing, and reporting shall be coordinated from the buyer's office in Egypt Cairo.
  3. Payment Schedule: Payment shall be made in four equal quarterly instalments of EGP 1,640,000 each, due within fifteen (15) business days of the end of each calendar quarter. The first instalment is due upon execution of this Purchase Order.
  4. Deliverables: The Oceanographer shall submit a quarterly progress report, a mid-term technical assessment, and a final comprehensive oceanographic report to the buyer's directorate in Egypt Cairo. All reports shall be submitted in both Arabic and English.
  5. Equipment Ownership: All instruments and equipment listed in Section 3 shall become the property of the National Institute upon delivery and acceptance at the Egypt Cairo facility. The Oceanographer shall be responsible for proper maintenance and calibration throughout the engagement.
  6. Intellectual Property: All data, findings, publications, and intellectual property generated by the Oceanographer under this Purchase Order shall be jointly owned by the buyer and the Oceanographer, with the buyer retaining primary publication rights for government use in Egypt Cairo and across Egypt.
  7. Compliance and Permits: The Oceanographer shall obtain and maintain all necessary environmental permits, water sampling authorisations, and fieldwork clearances required by Egyptian regulatory bodies for operations in and around Egypt Cairo. The buyer shall assist in facilitating inter-ministerial approvals.
  8. Insurance: The Oceanographer shall maintain professional liability insurance with a minimum coverage of EGP 5,000,000 for the duration of this Purchase Order, valid throughout Egypt Cairo and all fieldwork locations.
  9. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Oceanographer shall deliver all completed work and equipment to the buyer's Egypt Cairo office within thirty (30) days of the termination effective date.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to acts of God, government sanctions, civil unrest, or other events beyond reasonable control, provided that written notice is given within seven (7) days of the occurrence.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Oceanographer and procurement of associated equipment for use in Egypt Cairo.
