All services described in this Purchase Order shall be performed exclusively within the maritime and coastal jurisdiction of France Marseille, including the Port of Marseille-Fos, the Étang de Berre, the Calanques de Marseille, and the adjacent Mediterranean waters up to the 12-nautical-mile territorial limit. The Oceanographer shall coordinate all field operations with the Préfecture Maritime de Marseille and the Direction Régionale de l'Environnement, de l'Aménagement et du Logement (DREAL) Provence-Alpes-Côte d'Azur. All sampling, surveying, and data collection activities must comply with French maritime law, EU Marine Strategy Framework Directive (2008/56/EC), and the specific environmental permits held by the Provence Marine Research Institute for the France Marseille operational zone.

Payment for this Purchase Order shall be made in three instalments: (a) 30% (EUR 18,352.80) upon signature and acceptance of this Purchase Order; (b) 40% (EUR 24,470.40) upon delivery of the bathymetric survey data and water quality results; and (c) the remaining 30% (EUR 18,352.80) upon acceptance of the final Oceanographer report. All payments shall be made via bank transfer to the account designated by the Oceanographer, with reference to Purchase Order number PO-2025-FRM-0847. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).

  • The Oceanographer warrants that all data, analyses, and reports produced under this Purchase Order shall be original, accurate, and conducted in full compliance with French and European scientific and environmental regulations applicable to France Marseille.
  • The Oceanographer shall maintain professional marine research insurance with a minimum coverage of EUR 2,000,000 for the duration of the engagement in France Marseille.
  • Intellectual property rights in all deliverables produced under this Purchase Order shall vest in the Provence Marine Research Institute upon full payment. The Oceanographer retains the right to cite the work in academic publications with prior written consent.
  • Either party may terminate this Purchase Order with 30 days' written notice. In the event of early termination, the Oceanographer shall be compensated for all services rendered up to the date of termination, plus a 10% administrative fee.
  • All disputes arising from this Purchase Order shall be resolved by the competent courts of Marseille, France, in accordance with French law.
  • The Oceanographer shall comply with all health, safety, and environmental protocols established by the Provence Marine Research Institute and the French maritime authorities for operations in France Marseille.

This Purchase Order becomes binding upon signature by both parties. By signing below, the Buyer confirms the procurement of the Oceanographer's services as described herein for the France Marseille operational zone, and the Oceanographer confirms acceptance of all terms, conditions, and deliverables specified in this Purchase Order.
