This Purchase Order is issued by the Helmholtz Centre for Oceanographic Research, based in Germany Berlin, for the acquisition of one (1) fully operational Oceanographer deep-sea research submersible, model OCE-7200, manufactured by DeepSea Dynamics GmbH. The Oceanographer is a state-of-the-art, crewed submersible designed for deep-water oceanographic surveying, benthic sampling, and hydrothermal vent observation. The unit shall be delivered, commissioned, and maintained at the buyer's primary facility in Germany Berlin, where it will serve as the central research platform for the Berlin-based marine science programme.

The Oceanographer submersible is specifically configured for deployment from the Berlin harbour basin and subsequent transit to the Baltic Sea and North Sea operational zones. All navigation, communication, and data-logging systems on the Oceanographer shall comply with the German Maritime Authority (Wasserstraßen- und Schifffahrtsverwaltung des Bundes) regulations applicable to vessels registered in Germany Berlin.

The Oceanographer submersible and all associated equipment listed in Section 3 shall be delivered to the buyer's premises at Invalidenstraße 42-43, 10115 Germany Berlin, no later than 30 November 2025. Delivery shall be Incoterms 2020 DAP (Delivered at Place), Berlin. The supplier is responsible for all inland transport, customs clearance (if applicable for component imports), and final positioning of the Oceanographer within the Berlin harbour basin.

Commissioning and sea-trial acceptance of the Oceanographer shall be conducted jointly by the buyer's technical team in Germany Berlin and the supplier's engineering staff. A minimum of three (3) test dives in the Baltic Sea shall be completed before final acceptance is signed. All commissioning documentation shall be provided in both German and English to satisfy the regulatory requirements of the Berlin maritime authority.

Payment for this Purchase Order shall be made in the following instalments, all denominated in Euro (EUR) and remitted to the supplier's designated bank account in Germany:

The supplier warrants that the Oceanographer submersible shall be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of final acceptance in Germany Berlin. During this warranty period, all repairs, replacements, and corrective maintenance of the Oceanographer shall be performed at no additional cost to the buyer. The supplier shall maintain a dedicated service workshop within a 100-kilometre radius of Berlin to ensure response times of no more than 48 hours for any critical Oceanographer system failure.

This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising out of or in connection with this Purchase Order, including the delivery, operation, or maintenance of the Oceanographer in Germany Berlin, shall be submitted to the exclusive jurisdiction of the competent courts of Berlin, Germany. The parties agree to attempt mediation through the Berlin Chamber of Commerce and Industry (IHK Berlin) before initiating any formal litigation.

This Purchase Order is valid for acceptance within fourteen (14) calendar days of the date of issue. The supplier's acceptance of this Purchase Order shall constitute a binding contract for the sale, delivery, and commissioning of the Oceanographer as described herein. No modification, amendment, or supplement to this Purchase Order shall be effective unless made in writing and signed by authorised representatives of both parties. All intellectual property rights pertaining to the Oceanographer design remain with the supplier; the buyer receives a perpetual, non-exclusive licence to operate the Oceanographer for scientific research purposes from its base in Germany Berlin.
