Attention: Dr. Helena Voss, Senior Oceanographer
Delivery shall be made via insured freight (DDP – Delivered Duty Paid) in accordance with Incoterms 2020. The supplier is responsible for all packaging, crating, and insurance of the oceanographic instruments during transit to Germany Frankfurt. A minimum of 10 business days' written notice of shipment is required so that the Oceanographer and receiving team can prepare the laboratory and calibration bay for incoming equipment.
Upon arrival at the Germany Frankfurt facility, the designated Oceanographer shall conduct a 5-business-day inspection and functional test of each item listed in this Purchase Order. All CTD profilers, ADCPs, and data loggers must pass factory calibration verification against NIST-traceable standards. The AUV and multi-beam echo sounder shall undergo a controlled shallow-water shakedown test at the North Sea test site within 15 calendar days of delivery. Any item failing acceptance testing shall be returned to the supplier at the supplier's expense, and the Purchase Order balance for the affected line item shall be credited or replaced within 30 days.
Payment for this Purchase Order shall be made by bank transfer to the supplier's designated account within 30 calendar days of the date of the commercial invoice, provided that all acceptance criteria in Section 5 have been satisfied. The buyer's bank is Commerzbank AG, Frankfurt am Main, Germany Frankfurt. No interest shall accrue on timely payments. Late payments beyond the 30-day window shall incur interest at the statutory rate under § 288 of the German Civil Code (BGB). A 2% early-payment discount is available if payment is received within 10 days of invoice date.
The supplier warrants that all oceanographic instruments delivered under this Purchase Order are new, free from defects in material and workmanship, and conform to the specifications agreed upon with the Oceanographer. A minimum 24-month warranty from the date of acceptance applies to all electronic and mechanical components. The supplier shall provide on-site technical support at the Germany Frankfurt facility within 48 hours of a reported critical failure during the warranty period. Annual calibration services for the CTD profilers and ADCPs are included for the first three years of operation.
This Purchase Order and all transactions arising hereunder shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes shall be resolved by the competent courts of Frankfurt am Main, Germany Frankfurt. Both parties agree to attempt good-faith mediation before initiating formal litigation.
This Purchase Order is authorized and binding upon execution by the undersigned representatives of both parties. The Oceanographer named herein confirms that the equipment specified is necessary for the approved research program and that the Germany Frankfurt facility is equipped to receive, store, and operate the instruments upon delivery.
