- Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Commencement & Duration: The Oceanographer shall commence services on 1 July 2025. The contractual period shall extend through 31 December 2025, unless terminated earlier in accordance with Clause 7. All work shall be performed primarily at the Institute's facilities in Germany Munich, with limited field excursions to designated sampling sites within a 150-kilometre radius of Munich.
- Payment Terms: Payment shall be made in three equal instalments: 40% upon execution of this Purchase Order, 35% upon delivery and acceptance of the oceanographic data analysis report (Item 02), and 25% upon completion of all remaining deliverables. Payments shall be processed via SEPA bank transfer to the account specified by the Oceanographer's consultancy. Invoices must reference Purchase Order number PO-2025-0847-MUC.
- Quality & Compliance: The Oceanographer warrants that all services shall be performed with the skill, care, and diligence expected of a senior professional in the field of oceanographic science. All data collection, analysis, and reporting shall comply with the German Research Data Management Guidelines (DFG) and the EU General Data Protection Regulation (GDPR) as applicable to research data processed in Germany Munich.
- Intellectual Property: All reports, datasets, models, and derivative works produced under this Purchase Order shall be the exclusive property of the Bavarian Institute for Marine & Environmental Research. The Oceanographer retains the right to cite the research in academic publications, subject to a 90-day prior review period by the Institute.
- Insurance & Liability: The Oceanographer shall maintain professional liability insurance with a minimum coverage of €2,000,000 per occurrence, valid throughout the territory of Germany. The Oceanographer shall indemnify the Institute against any third-party claims arising from the negligent performance of oceanographic fieldwork.
- Termination: Either party may terminate this Purchase Order with a written notice period of thirty (30) calendar days. In the event of termination, the Institute shall pay for all services rendered and approved deliverables up to the effective date of termination. The Oceanographer shall return all Institute property, including oceanographic instrumentation, within fourteen (14) days of termination.
- Confidentiality: The Oceanographer agrees to maintain strict confidentiality regarding all proprietary data, unpublished findings, and internal communications of the Institute. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or pandemics affecting operations in Germany Munich.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. The Oceanographer confirms availability to perform the contracted services in Germany Munich for the stated duration and accepts the compensation structure outlined in Section 2.
