4. The Supplier shall provide a complete calibration certificate, test reports, and user manuals for each instrument prior to delivery. The Oceanographer team assigned to the project shall conduct a 72-hour acceptance test at the India Mumbai site before final payment is released.
5. Payment shall be processed via RTGS/NEFT to the Supplier's designated bank account in India Mumbai within 45 calendar days of the date of a valid tax invoice, subject to satisfactory completion of the acceptance test.
6. The Supplier shall maintain a dedicated technical support desk accessible 24/7 for the duration of the two-year warranty period. Response time for critical Oceanographer field failures shall not exceed 12 hours, with on-site service at the India Mumbai base within 48 hours.
7. Any deviation from the specifications in this Purchase Order must be approved in writing by the Buyer's Chief Oceanographer prior to manufacturing or shipment. Unauthorized substitutions will result in rejection of the affected items at the Supplier's cost.
8. The Supplier shall comply with all applicable environmental regulations of the Government of India, including the Marine Pollution Prevention Act, and shall ensure that all packaging materials are recyclable and disposed of in accordance with India Mumbai municipal waste management guidelines.
9. This Purchase Order may not be assigned or subcontracted without the prior written consent of the Buyer. All intellectual property related to the Oceanographer survey data collected using the procured equipment shall remain the exclusive property of the Buyer.
10. In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in India Mumbai. If mediation fails within 30 days, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India Mumbai.

By signing below, the Supplier acknowledges receipt of this Purchase Order and agrees to furnish all goods and services as specified herein for the Buyer's Oceanographer research programme based in India Mumbai. The Supplier confirms that all pricing is inclusive of applicable duties, taxes, and logistics to the India Mumbai delivery point unless otherwise stated.
